Where is the work:

Job Summary:

Experienced attorney supporting corporate governance, securities, finance, and other corporate matters for the Trane Technologies enterprise and its strategic business units.  This position will report to the Vice President & Deputy General Counsel - SEC/Securities Law & Corporate Finance. The position will be based in Davidson, NC. on site Monday through Thursday, with optional remote on Fridays.

Responsibilities include:

• Provide regular legal advice and assistance on corporate governance matters and monitor the Company’s corporate governance activities to ensure compliance with federal and state statutory requirements and NYSE and/or other listing requirements as they relate to governance practices and related disclosures (equity plan approvals and notifications, press release policies, etc.).
• Lead corporate entity management for subsidiaries across the company’s global portfolio, including coordinating periodic officer changes, managing annual officer elections through written consents, and partnering with internal and external counsel to ensure timely compliance with jurisdictional reporting requirements.
• Work closely with the Financial Reporting team to prepare periodic and current SEC filings, including registration statements and Forms 10-K, 10-Q, and 8-K, and manage Section 16 filings, Rule 10b5-1 trading plans, and related documentation.
• Support the Company’s sustainability reporting as part of mandatory Irish statutory reporting and the Company’s voluntary annual sustainability report. 
• Assist with preparing and distributing the Company’s annual proxy statement ahead of its annual general meeting.
• Provide legal advice to the Treasury Department on financing transactions, including credit facilities and bond offerings and other Treasury-related matters and drafting related documentation, and guidance on compliance with debt instruments and related agreements.
• Lead the company’s efforts, in partnership with the corporate tax group, to identify and secure stamp duty exemptions that minimize tax obligations associated with stock transfers.

• Partner with the corporate tax function on internal restructuring transactions, including managing due diligence requests outside constituencies, drafting minutes, consents, resolutions, and other corporate governance documents.

• Support company governance, including public company board, committee and shareholder meetings (including the Company’s annual shareholder meeting).
• Identify applicable domestic and international laws and regulations and provide interpretations and advice regarding the impact and requirements thereof on company compliance with securities and governances laws, regulations and best practices.
• Provide advice and counsel regarding implications of proposed business transactions and decisions on company compliance with securities and governance laws, regulations, finance and best practices.
• Provide legal support for the development, implementation, and administration of the Company’s executive compensation programs.
• Any other duties assigned by the Vice President, Deputy General Counsel – SEC/Securities Law & Corporate Finance.
• Percentage of Travel: Minimal

Qualifications & Key Competencies:

• J.D. degree from an accredited US or Canadian law school.
• Licensed and in good standing to practice law in North Carolina, or eligible to practice law as in-house counsel under North Carolina State Bar Rule 5.5(d) (27 N.C. Admin. Code 02 Rule 5.05).   
• A minimum of 5 years of related legal experience – 3 years in an in-house legal role a plus.
• Global experience is essential.
• Knowledge of federal securities laws (including Securities Act of 1933 and Securities Exchange Act of 1934) and NYSE rules related to listed companies.   
• Familiar with SEC’s EDGAR database (including EDGAR Next) and Microsoft Office.   Working knowledge of the Workiva WDesk suite is a plus. 
• Business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk.
• Strong written, verbal and interpersonal skills and the ability to collaborate with business and functional leaders across the company, exhibit the highest standards of integrity, business controls, and business practices. 
• Capable of immediately assuming responsibility for a wide variety of work; self-starter.
• Ability to read and understand financial agreements (including credit agreements, bond indentures, commercial paper agreements, and related instruments).
• Capable of maintaining independence of judgment and advice while developing close relationships with business personnel.  Functions well as a business partner to multiple businesses in a decentralized organization.
• The ability to deliver timely work product, set priorities among multiple projects and manage expectations with respect to deliverables and deadlines, focusing on client needs with a commitment to quality and service.
