To support our growth, we’re seeking a dynamic Senior Corporate Counsel 

Reporting to the General Counsel, you will be a key member of the legal team, providing strategic legal guidance and transactional support across the organization. This role focuses on managing supplier and member agreements, advising on compliance matters, and supporting group purchasing operations in a highly regulated industry. You will partner with internal business leaders to ensure sound and strategic advice to drive growth and operational excellence, while also managing relationships with external stakeholders. Liaise with outside counsel as needed. 

This position offers broad exposure across all lines of business and the opportunity to influence critical initiatives in a fast-growing, well-resourced company. Intellectual curiosity, strong business acumen, and ability to communicate with internal and external stakeholders (including supplier partners, private equity firms, government agencies, and large enterprise organizations). The ability to anticipate procurement trends and regulatory impacts is preferred. 

Responsibilities
  • Contract Management & Negotiation 
    • Independently draft, review, and negotiate a wide range of commercial documents, including supplier contracts, membership agreements, intellectual property, licensing, consulting arrangements, and custom pricing agreements 
    • Develop and maintain contract templates 
    • Provide legal guidance on contract interpretation and related issues impacting group purchasing operations 
  • Compliance & Risk Management 
    • Advise on compliance with applicable laws and regulations, including Anti-Kickback statutes and GPO Safe Harbor requirements 
    • Assist in drafting and implementing policies related to contracting processes, ethics, and compliance 
    • Conduct training and presentations for internal stakeholders on legal and compliance matters 
  • Strategic Legal Support 
    • Serve as a trusted advisor to all internal departmentsoffering guidance on regulatory issues and complex procurement arrangements 
    • Support special projects and strategic initiatives as assigned by the General Counsel 
Qualifications
  • Education & Licensing 
    • J.D. from an ABA-accredited, nationally recognized law school; strong academic credentials required 
    • Licensed to practice law in at least one U.S. jurisdiction  
  • Experience & Skills
    • 5+ years of legal experience, ideally at a large law firmadditional in-house experience a plus 
    • M&A experience strongly preferred
    • Proven ability to manage a high volume of complex legal projects and competing priorities. 
    • Expertise in drafting and negotiating commercial, procurement, and supply chain agreements 
    • Understanding of group purchasing operations preferred 
    • Exceptional communication and interpersonal skills; ability to work collaboratively with senior management and external parties 
    • Highly developed analytical and problem-solving skills; self-starter with sound judgment under pressure
