The Role

Cedar is seeking a Senior Corporate and Commercial Counsel to join our Legal & Compliance Team. Reporting directly to the VP, Deputy General Counsel, this role is ideal for a highly experienced enterprise commercial attorney who also possesses strong corporate legal skills. You will join a highly collaborative Corporate & Commercial Legal team and serve as a primary lead for Cedar’s most complex commercial sales, strategic partnerships, and vendor contracting deals while also providing a broad mix of day-to-day corporate support.

Responsibilities

  • Complex Commercial Negotiations: Structure, draft, and negotiate some of Cedar’s most complex and high-value sales, vendor, and strategic partnership agreements, including Master Services Agreements (MSAs), HIPAA Business Associate Agreements (BAAs), license agreements, consulting agreements, and complex Statements of Work.   
  • Corporate Legal Support: Partner with the VP, DGC to support corporate matters, which may include corporate and board governance, partnership and advisor agreements, equity administration, fundraising, M&A activities, and insurance.
  • Strategic Advisory: Provide expert legal and commercial advice to sales, procurement, and strategic transaction teams on a broad range of matters, including AI, software licensing, and go-to-market activities.
  • Technology, Ops, & Process Leadership: Partner with the VP, DGC to lead or co-lead the ongoing improvement of Cedar’s standard contract templates (MSA, BAA, NDA, Order Form, SOW, SLA etc.), deal intelligence and playbooks, and legal processes to ensure they remain streamlined and "plain English." Collaborate with Legal & Compliance Operations during implementation / optimization of contract templates, playbooks, and workflows to evolve our CLM tools and internal processes, leveraging technology & AI to derive business intelligence from our contracts and accelerate our business.
  • Team: Contribute as a team player to help further the status of the Legal & Compliance team as an effective, respected, and valued resource within the company. Collaborate with the Legal Product, Regulatory, and Compliance team to stay on top of key internal and external developments, including new product roadmaps and new regulatory requirements, in order to anticipate and incorporate timely updates and amendments to Cedar’s agreements. 
  • Mentorship: Serve as a mentor to peers and other team members, assisting with complex escalations and the refinement of our legal craft.
  • Outside Counsel Management: Collaborate with specialized outside counsel and supplemental legal resources for technology transactions, corporate, and employment matters.
  • Periodic travel to New York and other locations for company and team meetings.

Required Skills & Experience

  • JD Degree from an accredited law school and license in good standing to practice law in at least one state bar.
  • 8+ years of relevant legal experience at a top law firm and/or in-house (a combination is a plus), with a minimum of 4 years focused on technology transactions and enterprise SaaS (healthcare technology, AI, and general corporate experience is a strong plus).
  • Adaptability and Growth Mindset: Proven track record as a catalyst for change, wearing multiple hats and navigating undefined situations in order to establish structure and drive continuous improvement. Previous experience in tech/start-up/emerging growth companies is preferred.  
  • Advanced Negotiation and Communication Skills: Demonstrated ability to lead negotiations with large, sophisticated organizations and their in-house legal departments. Ability to simplify complex deal terms for business clients, negotiate deal process, draft on the fly, lead multiple complex deals simultaneously, and communicate effectively internally and externally. 
  • Drafting Excellence: Excellent drafting skills, and preference for prior experience building and maintaining contract templates. A passion for "plain English" legal drafting and making legal services more accessible to business partners. 
  • Corporate Acumen: Experience with corporate governance, equity administration, M&A, and/or strategic corporate transactions.
  • Keen Judgment: Exceptional business and legal judgment. You know when to say yes or no, but you also know when to escalate concerns, consult a colleague or talk someone through a complex issue.
  • Collaborative Mindset: A self-starter who excels at building collaborative relationships across functions like Sales, Finance, and Product and within the Legal & Compliance team.

Compensation Range and Benefits

  • Salary Range*: $221,000 - $260,000 
  • This role is equity eligible
