About the Role: 

We're seeking an exceptional Senior Counsel to join our high-performing legal team at a pivotal moment in our growth. As a strategic legal leader, you'll operate at the intersection of cutting-edge AI technology, global commerce, and corporate innovation—providing the legal foundation that enables Nintex to scale our agentic automation platform worldwide. 

This isn't a traditional legal role. As a senior strategic advisor reporting directly to the General Counsel, you'll architect legal solutions for one of the fastest-moving intelligent automation platforms, where AI-powered products launch quarterly and global expansion happens at startup speed. You'll be a trusted right-hand to the GC, operating with significant autonomy while providing strategic counsel to the Board of Directors. Your work will directly impact our ability to deliver AI innovations that eliminate manual work for millions of knowledge workers. 

Your Contribution Will Be: 

Corporate Leadership & Governance

  • Serve as primary legal counsel for Nintex's corporate governance across our global entity structure
  • Support the General Counsel in partnering with the Board of Directors—preparing materials, providing strategic guidance, and ensuring governance excellence
  • Lead real estate strategy and negotiations supporting our worldwide expansion
  • Manage subsidiary formations, dissolutions, and jurisdictional compliance with precision
  • Oversee equity plan administration, ensuring securities law compliance and employee equity success
  • Respond to internal and external KYC, UBO, and compliance requests, including for financial and security audits 

Commercial Excellence & AI Innovation 

  • Draft, negotiate, and close sophisticated SaaS agreements for our AI-powered platform (MSAs, subscription agreements, partner/channel deals, DPAs, PSAs)
  • Lead complex partner and channel sales agreements that expand Nintex's global reach through strategic partnerships
  • Provide real-time legal counsel to sales, customer success, and product teams on our agentic automation offerings
  • Architect deal structures that accelerate revenue while protecting our AI intellectual property and customer data
  • Become the trusted advisor who translates complex legal requirements into business-enabling solutions 

Legal Operations Pioneer 

  • Lead the charge on legal technology adoption—implement and optimize CLM platforms, contract analytics, and AI-powered legal tools
  • Build scalable playbooks, templates, and workflows that empower teams globally
  • Define and track legal KPIs that demonstrate our department's strategic value
  • Drive cross-functional initiatives that make legal a competitive advantage, not a bottleneck 

To Be Successful, We Think You Need: 

  • JD from an accredited law school; active US bar membership in good standing 
  • 9+ years of sophisticated legal practice with deep expertise in:  Technology transactions and commercial contracting (SaaS, cloud, AI platforms), Corporate governance and subsidiary management & Complex enterprise negotiations involving data security, privacy, and IP
  • Profound understanding of SaaS business models and global commercial practices
  • Working knowledge of revenue recognition standards and their contractual implications
  • Experience navigating AI-related legal issues (algorithmic transparency, AI liability, data usage for ML)

Nintex is committed to fair and transparent pay practices. The annual on-target earning range for this Senior Corporate Counsel - US position is [$200,000 - $210,000]. Pay within this range is determined by location, experience, skills, and qualifications. A portion of this salary range may be structured as variable compensation, with earnings based on factors such as individual performance, company performance, and achievement of specific metrics and objectives. Total compensation also includes medical, dental, vision, life insurance, 401(k) match, paid Global Gratitude & Recharge Days, paid volunteer time off, and more.
