In this position, you will engage in multiple work streams across our Go-To-Market and Supplier pillars. Your responsibilities will include negotiating key technology licensing agreements and other strategic supplier agreements, sponsorship agreements, and marketplace agreements. Furthermore, you will provide legal advice regarding changes in how we package and sell our offerings to new and existing customers, our products' interoperability with third-party technology, the introduction of innovations such as AI to the market, and legal considerations affecting major marketing initiatives, marketplace expansion, pricing changes and other revenue drivers, as well as customer support initiatives.
As a GTMS compliance SME, you will serve as the primary legal advisor and the first point of escalation for internal teams overseeing specific commercial compliance programs, including import and export control and accessibility. You will be primarily responsible for managing Data Transfer Impact Assessments (DTIAs) by Atlassian suppliers and addressing DTIA requests from customers and partners.
Your role will be pivotal in driving transformation within GTMS and, through collaboration, the broader Commercial Legal team. You will investigate and identify opportunities to divert routine, low-touch but high-volume transaction work to AI and alternative legal support models, allowing the GTMS to focus on delivering higher-value and more complex legal advice and work product faster, helping internal and external business partners more timely achieve key business objectives.

To support this goal, the baseline of our range is higher than that of the typical market range, but in turn we expect to hire most candidates near this baseline. Base pay within the range is ultimately determined by a candidate's skills, expertise, or experience. In the United States, we have three geographic pay zones. For this role, our current base pay ranges for new hires in each zone are:
Zone A: $192,800 - $257,000
Zone B: $173,500 - $231,300
Zone C: $160,000 - $213,300
This role may also be eligible for benefits, bonuses, commissions, and equity.

- Be the SME advising the business and cross-functional teams on compliance obligations and business-driven programs arising from the internal and customer-facing AI and new technology use cases, import/export controls (including prohibiting sales to sanctioned countries or individuals), cross-border data transfers and localization requirements, HIPAA, PCI and FINRA requirements, personally identifiable information use cases, and accessibility.
- Pursue DTIAs from vendors and partners or respond to DTIA requests from customers
- Collaborate with cross-functional teams to align Atlassian strategies, offerings, and purchases with Atlassian standards in compliance with applicable regulations, focusing on delivering pragmatic, business-minded solutions to support strategic company purchases, product development and internal technology use cases, revenue partnerships, and the marketing, distribution, and delivery of, and customer access to, Atlassian offerings.
- Drive cross-functional projects to support transformation through greater efficiency of GTMS legal support, including investigating, identifying and implementing AI-driven tooling to handle first-pass document analysis, leveraging alternative legal support models for routine, lower-touch transaction support, and creating and updating legal templates, playbooks, and quote-to-cash and other processes to support expanded self-service among internal clients, partners and customers for routinely low-touch work flows.
- Structure, draft, and negotiate legal terms and conditions (on both Atlassian and third-party paper), including inbound license agreements and agreements for consulting, marketing, sponsorships, SaaS, data processing, professional services, as well as inbound and outbound marketplace, API connector, sweepstakes, and contest terms.
- Experience with and substantive knowledge of the following is preferred:
- SaaS Subscription Terms (as buyer and seller)
- IT and other supplier agreements and negotiations
- DTIAs and other data protection compliance (as buyer and seller)
- Import/Export Control and other regulations affecting distribution of technology products and services
- GDPR and other data protection frameworks (including CCPA/CPRA)
- HIPAA and benefits/HR agreements
- In-bound and out-bound IP licensing, branding and other IP considerations
- Advertising rules and regulations
- Sweepstakes and Contests rules and regulations
- AI statutory and best practice frameworks, and AI-related compliance and standard contract terms
More About You:
- Your background includes negotiating SaaS and other technology licensing agreements from the buy-side (sell-side experience a plus) for both internal (enterprise IT) and external (customer-facing) use cases.
- You have experience advising on commercial compliance-related matters such as import/export controls and monitoring (including for denied parties), HIPAA, PCI/FINRA, advertising, personally identifiable data use, cross border data transfer reporting (including DTIAs), and accessibility.
- You have supported multiple internal stakeholders across various pillars of a large enterprise and can build strong relationships with both third-party business partners and internal stakeholders.
- You thrive in a fast-paced, remote-friendly environment and can prioritize effectively.
- You are adept at independently negotiating multiple contract templates without a playbook.
- You possess excellent communication skills.
- You can manage escalations and have the ability to promptly identify and evaluate issues, and provide pragmatic, risk-appropriate solutions based on sound legal and business judgment.
On your first day, we'll expect you to:
- have at least 7+ years of law firm and/or in-house licensed counsel experience drafting and negotiating terms for, and advising on, the legal considerations of a wide range of transactions, with a focus on information technology, intellectual property, data privacy, and specific compliance matters.
- have a J.D. with a license to practice law in a US jurisdiction (CIPP certification is a plus).
