Provides legal support to Vanguard’s Workplace Legal team in three core areas: commercial contracting, workplace and retirement legal support, and legal operations/process enablement. Partners with counsel and business stakeholders to draft, review, and support negotiation of agreements; conduct legal research and analysis; and help address legal, regulatory, and operational issues affecting Vanguard’s workplace and retirement businesses. Applies sound judgment, communicates clearly, and contributes to practical, risk-based solutions that support business objectives.

Responsibilities

  • Draft, review, and support negotiation of commercial agreements and related legal documents for Vanguard’s workplace and retirement businesses.

  • Support efforts related to RFPs and client due diligence inquiries, ensuring the accuracy of Vanguard's responses.

  • Support attorneys and business partners on legal and commercial matters involving external clients, internal stakeholders, and cross-functional teams.

  • Conduct legal and regulatory research and analysis and translate findings into clear, practical guidance.

  • Identify and help resolve day-to-day legal, contractual, regulatory, operational, and risk issues arising in the business.

  • Provide business-focused support on assigned matters while preserving Vanguard’s legal and regulatory risk posture.

  • Collaborate with attorneys and subject-matter experts across legal, compliance, privacy, information security, procurement, and technology to address issues and incorporate applicable requirements.

  • Support updates to legal templates, playbooks, guidance, and contracting processes to improve consistency, efficiency, and risk management.

  • Use legal technology and other tools to improve the efficiency and effectiveness of legal support, including contract analysis, issue triage, and self-service enablement where appropriate.

  • Build and maintain knowledge of applicable legal and regulatory frameworks, including data privacy, information security, fiduciary standards, and other requirements relevant to Vanguard’s workplace business.

  • Support enterprise initiatives, incident response, and other projects requiring legal analysis, contract interpretation, and cross-functional coordination.

  • Contribute to training, knowledge-sharing, and development of resources that help team members and business partners work more effectively.

  • Perform other duties as assigned.

Qualifications

  • Minimum of three to five years of related work experience in legal, paralegal, contract management, or regulatory roles.

  • Experience drafting, reviewing, and negotiating commercial contracts and related legal documents.

  • Strong analytical, issue-spotting, and problem-solving skills, with the ability to apply sound judgment to legal and business matters.

  • Demonstrated ability to work independently, manage competing priorities, and escalate issues appropriately.

  • Strong written and verbal communication skills, including the ability to explain legal concepts clearly to a range of audiences.

  • Experience working effectively with internal stakeholders, external clients, and cross-functional partners.

  • Undergraduate degree or equivalent combination of training and experience.

Preferred Qualifications

  • Experience supporting workplace, retirement, financial services, or other regulated business lines.

  • Experience with data privacy, information security, fiduciary standards, and related regulatory requirements.

  • Experience developing or improving legal processes, templates, workflows, or self-service tools.

  • Demonstrated success in stakeholder management, including working through competing priorities and tight deadlines across multiple functions.

  • J.D. or other legal training/experience preferred, but not required.
