Job Summary:

As the Director of Contract Management and Legal Affairs, you will lead the company’s legal operations across all jurisdictions in which it operates. This includes oversight of contract negotiation and management, corporate governance, regulatory compliance, and risk mitigation. You will work closely with senior leadership and external counsel to ensure CFGI’s legal interests are protected as the company continues to expand globally.
 
Key Responsibilities:

Contract Management
·       Develop and maintain standardized contract templates tailored to each jurisdiction, ensuring legal compliance and consistency.
·       Review, draft, and negotiate agreements with clients, vendors, partners, and employees.
·       Oversee the contract lifecycle and approval processes, including coordination with external counsel when necessary.
 
Corporate Governance
·       Ensure adherence to applicable laws, regulations, and governance standards across all entities.
·       Manage and maintain corporate legal documentation, including bylaws, policies, and board consents.
·       Collaborate with external counsel and manage legal budgets for routine governance matters.
 
Regulatory Affairs
·       Monitor and ensure compliance with industry-specific regulations, including data privacy, labor laws, and competition law.
·       Serve as the primary liaison with regulatory bodies and represent CFGI during audits or investigations.
·       Coordinate with international subsidiary teams to ensure local legal compliance.
·       Track and assess legal and regulatory developments that may impact business operations.
 
Compliance & Risk Management
·       Develop and implement policies that promote legal compliance and corporate integrity.
·       Identify and mitigate legal risks through proactive strategies and internal controls.
 
Qualifications:

·       Juris Doctor (JD) from an accredited law school; admission to a state bar (or international equivalent) required.
·       Minimum of 5 years of experience in corporate law, preferably in a multinational environment.
·       Proven expertise in contract negotiation, regulatory compliance, and corporate governance.
·       Strong understanding of international legal frameworks and risk management practices.
