The Associate Commercial Counsel will draft, review, and negotiate contracts, advise teams on legal issues, update processes, and support compliance efforts.

Associate Commercial Counsel will focus primarily on drafting reviewing, and negotiating contracts as both a buyer and a seller. You will work closely with various departments across the company, with an emphasis on the sales team.
What You Will Do
- Independently draft, review and negotiate a broad range of agreements, including MSAs, content licensing, SaaS, consulting agreements, statements of work and NDAs.
- Advise internal teams on legal risks and contractual matter, dispute resolution, and contract issues with and ability to translate "legalese" into business terms.
- Assist with the creation and maintenance of contract templates, playbooks, guides, and policies
- Work with the legal team to create, update and maintain processes and procedures to increase team efficiency and compliance
- Support legal operations by assisting in implementing and managing contract lifecycle management tools and ability to develop system automation.
- Conduct legal research and stay to-date on relevant developments to the applicable laws and the industry to ensure legal advice complies with relevant laws and regulations.
- Support compliance with internal policies and assist with managing vendor due diligence, questionnaires, and regulatory requirements.
- Work closely with other members of the legal team to ensure a smooth contracting process.
What You Will Need
- JD degree from an accredited law school and current member in good standing with a US state bar
- Two to four years of reviewing, drafting and negotiating a wide variety of contracts at a law firm and/or an in-house legal team
- Knowledge of current contract law, and related legal principles and procedures.
- Strong understanding of business sensitivities and confidentiality
- Outstanding organizational skills, including ability to prioritize, delegate and multi-task
- Excellent verbal and written communication skills
- Effective interpersonal and collaboration skills
- High degree of professional ethics, integrity and gravitas
- Proven judgement and analytical skills
- Ability to anticipate legal issues or risks
- Experience with data privacy regulations such as GDPR, CCPA, etc.
What We Offer
- The base salary range for this position is $140K to $150K. Offered salary will be determined by several factors, including but not limited to: applicant’s education, experience, knowledge, skills and abilities, as well as internal equity and alignment with geographic market data. Business Wire reserves the right to modify this salary range at any time.
