Job Description

The U.S. Bank Law Division is seeking an experienced attorney to join the Enterprise Procurement Legal Team. We are looking for an individual who can work independently but collaboratively in a fast-paced and collegial team environment. Ideal candidates will have experience supporting an enterprise contracting function and negotiating technology contracts.

The position offers candidates a career with exposure to enterprise-wide contracting, with a focus on technology contracts, while working directly with business line executives and collaborating with business units and legal professionals at U.S. Bank.

This role will work directly with enterprise procurement and internal contracting teams with negotiating, drafting and reviewing enterprise vendor contracts for all business units, including major technology contracts (e.g., licensing, maintenance, cloud services, offshore, outsourcing, SaaS, PaaS, IaaS, mainframe, hardware purchasing, NDAs, and telecommunications agreements). This attorney will also collaborate with Law Division colleagues, Third-Party Risk Management (TPRM), and the Enterprise Procurement team to develop and implement enhancements to the process for escalating and reviewing critical legal issues in vendor contracts.

JOB FUNCTION & RESPONSIBILITIES

  • Draft, negotiate and review enterprise procurement contracts.
  • Collaborate with internal stakeholders, including legal, procurement, internal contracting, TPRM, technology, and operations teams to ensure that contractual terms align with business objectives and risk tolerance.
  • Analyze contractual risks and partner with Law Division peers and clients to develop strategies to mitigate them.
  • Provide guidance and support to internal teams on contract-related matters, including contract interpretation.
  • Advise businesses on legal and regulatory compliance and company policies and procedures.
  • Stay abreast of relevant market, legal and regulatory developments.

BASIC QUALIFICATIONS

  • Law degree
  • Licensed in good standing to practice law in at least one jurisdiction

PREFERRED SKILLS/EXPERIENCE

  • 8 to 12 years of relevant experience in-house or at a law firm
  • Ability to effectively advise business executives on risk-based terms
  • Demonstrated experience analyzing and interpreting existing agreements
  • Experience providing legal support for the procurement and contract services functions of a financial institution, a Fortune 500 company or another company in a regulated industry.
  • Ability to strategically prioritize and manage concurrent projects
  • Experience with SaaS, cloud, PaaS, IaaS, mainframe contracts
  • Experience with OCC requirements
  • Experience with information security and privacy
  • Experience with negotiating AI terms in vendor contracts
  • Strong written, verbal, and interpersonal communication skills
  • Well-developed leadership abilities and strategic management skills
  • Ability to assess risks and provide thoughtful advice in a fast-paced environment

LOCATION REQUIREMENTS
This role requires working from a U.S. Bank location three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $149,515.00 - $175,900.00
