Senior legal adviser to the Company and the Compensation Committee of the Board of Directors regarding legal activities within the Executive Compensation, Benefits, Employment, and Labor areas. Provides counsel on the legal implications of activities within these departments. Ensures the legal activities of these areas meet the current and future needs of the organization. Manages a group of experienced attorneys supporting employee benefits, executive compensation, labor and employment.

Duties and Responsibilities

  • Works with clients to establish short and long-term strategy based on long-range vision to achieve business results within the Executive Compensation, Benefits, Employment and Labor areas.

  • Works with the Compensation Committee of the Board of Directors to manage the strategic direction of the Company’s compensation programs. This work includes responsibility for HR-related corporate governance and compliance with all applicable laws. Also requires coordination with the Compensation Committee’s independent consultant, and the preparation of tally sheets, incentive plan updates, incentive plan design and legal compliance, and compliance with changes in applicable laws.

  • Oversight of compensation-related information in annual proxy statement.

  • Monitors legal developments, legislation and pending legislation promulgated by the Federal government and the states in which the Company does business, to assess and advise management of new laws, regulations and interpretations adversely affecting current methods of operations. Maintains job-related technical knowledge and skills, and in-depth knowledge of issues relating to the utility industry.

  • Supervision of team of experienced attorneys supporting the executive compensation, employee benefits, labor and employment areas. Interacts with and leads employees to effectively ensure clear communication of department goals and corporate vision.

Basic Requirements

  • Doctor of Jurisprudence degree from an accredited law school

  • 12+ years of experience practicing law

  • Attorney

  • Masters in Tax Law

  • Ability to work with individuals at all levels of the organization, from those on the Board of Directors to those throughout the HR organization.
  • Expertise in the executive compensation area in order to assist with advising the Compensation Committee
