The Vice President, Legal is a senior executive leader responsible for driving the global legal strategy of the organization. This role oversees all aspects of corporate, commercial, regulatory matters across multiple jurisdictions, providing strategic counsel to the executive team. The VP will build, scale, and lead a global legal function that supports the company’s Employer of Record (EOR) business model, global workforce operations, M&A initiatives, and corporate matters. This role combines hands-on legal expertise with strategic business leadership, ensuring that the company operates with integrity, agility, and alignment to its growth ambitions.
Key Responsibilities:
Strategic Leadership & Governance
- Serve as the company’s legal advisor, providing counsel to executive leadership on strategic initiatives, risk management, and corporate governance.
- Develop and execute the company’s global legal and compliance strategy in alignment with business objectives.
- Establish and oversee governance frameworks, policies, and training that ensure compliance with global labor, employment, data privacy, and trade laws.
- Advise on legal implications of strategic decisions, operational initiatives, and cross-border expansion.
Commercial & Contractual Oversight
- Oversee negotiation and risk management for complex global commercial agreements, including client MSAs, vendor agreements, and partnership contracts.
- Partner with sales, marketing, product, and operations teams to enable business growth while maintaining robust legal and risk controls.
- Standardize contract templates and processes to drive efficiency and scalability in commercial contracting across global regions.
M&A, Corporate, and Expansion
- Lead all legal aspects of M&A transactions, including due diligence, deal structuring, and post-acquisition integration.
- Advise the Entity Management team on legal implications as we enter new markets
- Manage external counsel relationships for cross-border transactions and regulatory matters.
Regulatory, Compliance & Data Privacy
- Ensure global compliance with labor, employment, data protection (including GDPR), and trade regulations across all operating jurisdictions.
- Lead data privacy teams to maintain strong data governance standards.
Team Leadership
- Lead, develop, and mentor a team of legal professionals across multiple regions.
- Build scalable structures for internal legal support, including the use of technology, knowledge management tools, and workflow automation.
- Foster a culture of collaboration, integrity, and continuous improvement within the legal and compliance function.
Qualifications
- Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction.
- 15+ years of legal experience, including in-house leadership at a global technology, SaaS, or professional services company.
- Significant experience with cross-border commercial contracting, M&A, and compliance frameworks.
- Expertise in employment, data privacy (GDPR, CCPA), and regulatory compliance relevant to global workforce or EOR models.
- Demonstrated success advising executive teams on complex, high-impact decisions.
- Strong executive presence, communication, and influencing skills.
- Proven ability to balance risk management with commercial pragmatism in a fast-paced environment.
Preferred Experience
- Prior experience in the Employer of Record (EOR), global employment, or HR technology sector.
- Experience leading legal operations across multiple time zones and jurisdictions.
- Familiarity with global employment regulations, and corporate structuring.
