What's the role?

HERE is looking for an experienced lawyer to join our team in Mexico. As Legal Counsel, you will be a point of contact to provide legal support focused on supporting certain sales and sourcing contracts as well as providing solution-oriented practical advice. You will be a member of the AMER Legal Team, reporting to the Senior Legal Counsel (located in USA), and a member of the broader Global Legal Team, which is comprised of highly qualified and experienced lawyers located around the world.

Main Responsibilities

  • Review and redline various types of inbound/outbound commercial contracts for parties located in the United States. Canada, and Latin America (including NDAs, evaluation agreements, vendor agreements, master services agreements, data acquisition agreements).
  • Negotiate commercial contracts with opposing counsel.
  • Communicate via email and phone with a variety of internal business stakeholders.
  • Maintain the strictest confidentiality of matters.
  • Provide support for drafting and maintaining legal templates, guidelines, and other legal projects.

Who are you?

Qualifications and Experience.

  •  A minimum of 8 years of legal experience in a law firm or in-house, preferably at a technology and/or IP focused company.

    • Experience in reviewing, drafting, and negotiating commercial agreements.
    • Experience in working with international stakeholders.
    • In-house experience with a technology company a plus
  • LLB, or equivalent qualification and strong academic credentials from an accredited law school in Mexico or abroad
  • Fluent in verbal and written English and Spanish

Knowledge and Skills

  • Excellent verbal and written communication communication skills in English
  • Excellent legal drafting and negotiation skills.
  • Ability to explain contract risks and obligations to non-lawyers.
  • Attention to detail, speed, and efficiency in reviewing and drafting documents.
  • Knowledge of intellectual property rights that are relevant for license and cloud services agreements.
  • Excellent organizational, communication, interpersonal and management skills
  • Proven ability to manage many simultaneous contract negotiations within required deadlines.
  • Experience negotiating with opposing counsel.
  • Ability to work well independently as well as in a cross-functional team.
