ABOUT THE ROLE:

Peloton is looking for a motivated, dynamic attorney with 7+ years of experience at a top law firm or in-house legal department to join our corporate legal team. As Senior Counsel, you will be primarily responsible for supporting Peloton’s senior attorneys, Finance and People teams on all matters related to our public filings, securities law compliance, capital markets transactions, investor relations and Board and committee matters. 

 This role requires a strong understanding of Peloton’s multifaceted business, including relationships with key stakeholders such as our members, suppliers, and partners, to help achieve our business objectives. This role will be based out of our New York City headquarters office and will be required to comply with our hybrid policy. Currently, hybrid team members report to the office weekly on Tuesday, Wednesday and Thursday.

 

YOUR IMPACT AT PELOTON:

  • Serve as the main legal contact for the Financial Reporting team in preparing and reviewing SEC filings (Form 10-K, 10-Q).
  • Lead preparation and analysis of proxy statements, Form 8-K, related party transactions, director and officer questionnaires, and corporate compliance calendars.
  • Oversee administration of Peloton’s Insider Trading Policy and 10b5-1 plans, and prepare reports of beneficial ownership for officers and directors on Forms 3, 4 and 5.
  • Review external communications, including press releases, investor presentations, and other announcements in collaboration with Investor Relations and Communications teams.
  • Draft agendas, resolutions and minutes for Board and committee meetings.
  • Partner with the People team on Compensation Committee agenda items and related executive compensation, equity issuances, and public reporting matters.
  • Stay informed on governance trends, SEC and Nasdaq regulations, and industry best practices, presenting insights to the Nominating, Governance and Corporate Responsibility Committee.
  • Collaborate with Investor Relations on Regulation FD compliance, investor engagement, and Peloton’s annual stockholder meeting.
  • Support ESG initiatives, public disclosures and corporate governance matters.
  • Develop and maintain policies and procedures related to securities law compliance and risk management, while working closely with internal audit on SOX compliance.
  • Assist Treasury and Accounting teams with credit facilities and other financing arrangements, and participate in capital markets transactions.
  • Handle special projects as needed, adapting to a fast-paced,evolving environment.
  • Build strong relationships with Legal, Finance, People and senior business teams to drive operational efficiencies.

YOU BRING TO PELOTON:

  • 7+ years experience in SEC reporting or securities law compliance and advisory work at a top law firm and/or in-house role (in-house experience preferred).
  • Expertise in corporate and securities law, particularly SEC and Nasdaq rules and regulations.
  • Exceptional communication, organizational, and interpersonal skills.
  • Business-savvy with the ability to provide strategic legal advice.
  • Strong team player with a willingness to take on a range of responsibilities (no job is too small or too large).
  • Ability to thrive in a fast-paced, dynamic environment.
  • Member in good standing of the NY, CA, or comparable State Bar.

The base salary range represents the low and high end of the anticipated salary range for this position based at our New York City headquarters. The actual base salary offered for this position will depend on numerous factors including, without limitation, experience and business objectives and if the location for the job changes. Base Salary Range
$215,050$264,150 USD
