The Opportunity:
We’re seeking a Senior Legal Counsel - Corporate and Securities, to provide strategic guidance on corporate governance, securities, M&A, and corporate compliance matters. This role focuses on corporate governance, securities compliance, equity capitalization, and strategic transactions—all while building a foundation for future public-market readiness in partnership with Finance, Accounting, Investor Relations, and external advisors.
Responsibilities:
Equity Administration & Management:
Oversee administration of the company’s equity programs, including stock options, RSUs, equity grants, and employee equity education.
Ensure compliance with equity-related regulations and reporting requirements, including advising on equity grant practices and maintaining accurate records.
Provide strategic counsel to HR, Finance, and leadership teams on equity plan structure, compensation strategies, and best practices.
Governance & Entity Management: Structure and maintain the corporate entity hierarchy, prepare board and committee materials (minutes, resolutions), and implement corporate governance best practices. Help scale internal processes in anticipation of more rigorous compliance standards.
Disclosure & Regulatory Filings: Assist with periodic filings (e.g., Form D, Rule 701 notices), U.S. securities regulations, and identify emerging disclosure obligations. Coordinate with external counsel and auditors in confidentiality reviews and regulatory updates.
Capital Markets Awareness: Support the company’s preparation for a potential future IPO or other liquidity event. This includes assisting with drafting registration statements and related documentation, implementing appropriate corporate governance practices, updating corporate policies, and collaborating with internal and external stakeholders to ensure regulatory readiness and compliance.
Corporate Transactions: Provide legal support for M&A activity, joint ventures, strategic alliances, financing deals, and other critical corporate transactions, from due diligence to document negotiation and execution.
External Counsel Coordination: Manage relationships with external legal experts (e.g., securities, tax, M&A) to ensure cost-effective, high-quality advice and coordinated response to growth milestones.
Cross-functional Engagement: Advise teams across Finance, Accounting, Investor Relations, Business Development, Tax, and Communications on legal compliance, corporate structuring, and disclosure strategy aligned with evolving enterprise needs.
Education & Licensure: JD from an accredited institution and active admission to at least one state Bar.
Experience: ~4–7 years of relevant corporate and securities law experience in a law firm or in-house setting—especially with high-growth or pre-public companies. Demonstrable hands-on experience with governance, equity compensation, and private securities work is required.
Securities & Capital Markets: Broad knowledge of U.S. securities laws (e.g., Securities Act, Exchange Act, Reg D, Reg S, Rule 701). Experience preparing disclosure documents, SEC filings or supporting audit and disclosure readiness is highly valued.
IPO/Public Company Expertise: Demonstrated knowledge of the IPO process or experience taking a company through an IPO or other public offering is highly desirable. IPO and public company securities experience is a plus , and familiarity with preparation of registration statements and prospectuses is strongly preferred.
Corporate Governance & Equity Management: Proven ability managing board materials, governance processes, and equity administration at scale. Talent for simplifying complex legal concepts and processes for cross-functional teams.
Project Management & Communication: Strong writing and oral communication skills, with the ability to influence stakeholders. A proactive, detail-oriented, and organized approach to managing multiple concurrent priorities.
Strategic Mindset: Commercially astute, collaborative, and forward-thinking. Nice-to-have: familiarity with how disclosure systems and corporate controls evolve as companies scale or pursue capital markets access.
