What the Senior Legal Contract Manager does at Worldwide Clinical Trials

The Senior Legal Contract Manager is responsible for negotiating contracts on a variety of Worldwide and Sponsor templates and other assigned duties, as applicable, and the overall management of activities involved in the development/preparation and revision of Worldwide’s sponsor contracts and amendments.  This includes the review, negotiation, and finalization of Master Services Agreements (MSAs) in accordance with Worldwide’s position, policies, procedures, and applicable laws.

The Senior Legal Contract Manager is responsible for the full life cycle of sponsor contracts.  

What you will do

  • Independently drafts, reviews, negotiates, and manages a variety of contracts and amendments, including master services agreements and non-disclosure/confidentiality agreements globally, with minimal supervision

  • Assists the legal contracts team with the creation of contract templates, fallbacks, and other initiatives, as needed

  • Applies Worldwide fallback positions to all contracts being negotiated

  • Liaises with internal stakeholders to ensure contractual terms requested by the sponsor, which are outside of fallback, are acceptable to Worldwide

  • Ensure appropriate internal escalation with relevant Worldwide groups during contract negotiations

  • Collaborate with business development managers, therapeutic leaders, Operations, Legal, and Finance to ensure the sponsor contracts reflect what has been operationally and legally agreed between Worldwide and the sponsor

  • Integrate changes into the contract efficiently and accurately

  • Interact with clients and other stakeholders by email, by internal calls, and by sponsor negotiation/finalization calls

  • Manage the overall process and activities to ensure the execution of sponsor contracts, with flexibility and prioritization to meet business goals and deadlines. Re-prioritizes tasks based on urgent requests

  • Anticipate contractual issues at early stages and suggest  solutions based on familiarity with Worldwide’s positions

  • Act as a central point of contact for contractual issues; provide contractual input and strategy

  • Review, comment, and negotiate the contracts with the sponsor. Redlining/editing the templates provided by the sponsor in addition to the original text, to ensure the contract templates provided by the sponsor are aligned with Worldwide standard clauses and requirements

  • Review contracts as needed for colleagues prior to finalization.

  • Develop and maintain contracting tools, templates, and processes as part of the Legal Contracts Team

  • Sets up and leads conference calls to negotiate and finalize contractual terms with sponsors

  • Ensures any changes are integrated into a contract accurately and that approvals for any non-standard terms have been obtained from the applicable internal stakeholders

  • Ensures the execution copy of the final contractual document is of high quality per internal team QC guidelines

  • Overall tracking/of document status via routine updates to Salesforce and filing of finalized contracts in SharePoint

  • Ability to work varied and flexible hours when required

  • Ability to advise and interact with all levels of internal stakeholders.

  • Proficiency in English language skills (vocabulary and writing skills) equivalent to native speaker ability

  • Demonstrate excellent oral and written communication as well as interpersonal skills

  • Strong communication skills, including the ability to articulate via the phone and in person with a high degree of confidence and professionalism

  • Metrics-driven and goal-oriented with a strong attention to detail

  • Excellent customer relationship management skills and strong commercial acumen

  • Knowledge of general corporate business practices, commercial contracting principles, and contracting legal requirements

  • Strong desire to become a subject matter expert in contract negotiation and clinical research organizational operations

  • Continuous and enthusiastic learner

  • Driven, self-starting, and self-motivated

Your experience

  • Juris Doctorate and 3+ years of legal contracts experience

  • Previous redlining experience of contracts on a variety of templates required (based on analysis and the previous company’s positions)

  • Previous experience in negotiation and/or other forms of dispute resolution

  • Experienced in exposure to high levels of pressure and timeline-sensitive deliverables; intense concentration needed

  • Must be able to multitask constantly

  • Frequent interaction with internal SMEs/associates required

  • Long, varied hours are required occasionally

  • Travel is required on rare occasions, which may be on short notice
