We are seeking a dynamic and experienced Senior Counsel, Commercial to join our legal team. You will serve as a primary legal contact for the revenue organization, and you will play a critical role handling a wide variety of commercial transactions. The role will require the candidate to take a proactive lead in advising the revenue team, stewarding vendor relationships, and working closely with our legal ops team to supervise our contract management system.
You will have the opportunity to provide legal counsel in a dynamic industry with few legal precedents, brand new legal questions and concerns, and quickly evolving business models. Curiosity, the willingness to learn about new technologies, and the ability to translate commercial transaction needs into scalable and efficient legal documents is a must.
This is a remote role. Although we are a global company, we are currently seeking candidates in the United States.
What you'll do:- Serve as lead commercial counsel advising on a range of transactions
- Gain an in-depth understanding of Stability’s products and development processes, including their strengths, limitations, and vulnerabilities from a legal, security, and ethical standpoint
- Provide expert legal advice and guidance to the revenue team to ensure our agreements meet industry standards and achieve the desired outcomes
- Work with the legal ops team to continue to build out and perfect our contract management and workflow ticketing system
- Ensure that our agreements comply with applicable global privacy and data security laws
- Work closely across multiple teams to manage incoming vendor agreements and ensure we meet enterprise-grade expectations
- Track and provide guidance on global laws pertaining to AI products and services, and collaborate with product and privacy legal in implementing ethical and safety initiatives for our AI products/services
- Provide guidance on software licensing issues, including as they apply to the development and licensing of datasets used to train our AI models, the output of our generative AI products and services, and the hosting of content (such as the DMCA and Article 17)
- Conduct legal research and stay up-to-date with industry trends, regulatory changes, legal precedents, and emerging technologies that may impact Stability AI's products
- Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing
- 6+ years of experience as a commercial attorney, with a focus on technology products, software as a service, and software licensing agreements
- An understanding of data privacy law (e.g., GDPR, CCPA), emerging AI law (e.g., EU AU Act), and consumer protection laws and their applications to commercial terms
- Passionate about obtaining a deep understanding of the inner-workings of AI technology
- Ability to address problems creatively with an open mind
- Practical approach to commercially reasonable risk mitigation in the face of both legal and business uncertainty
- Excellent analytical, communication, and problem-solving skills, with the ability to distill complex legal concepts into clear and actionable guidance for non-legal stakeholders
- Ability to work independently and collaboratively in a fast-paced, dynamic environment
- Experience working with cross-functional teams and effectively managing multiple priorities
- Proactive mindset to identify and address legal risks
- High level of integrity, professionalism, and attention to detail
- Flexibility to adapt to evolving priorities
- Ability to foster relationships and collaborate with internal clients
- Sense of humor and inquisitive attitude focused on problem solving and consensus-building
- Previous in-house experience on a commercial legal team
- An understanding of data use in the context of generative AI model training and related risks/opportunities
- Experience with open source software licensing, data licensing, or source-available licensing, as well as open source development and open source communities
- Deep curiosity of emerging technologies, including AI and data analytics, as well as knowledge of the emerging regulatory developments affecting them
