This critical role will lead contract administration, corporate governance compliance, and legal operations, ensuring adherence to company agreements, filings, and governance processes. This position offers growth opportunities in intellectual property management, securities compliance, and regulatory affairs.
Key Responsibilities:
Legal Operations & Compliance Leadership
- Lead the development, implementation, and oversight of legal operations processes, ensuring efficiency and adherence to company policies.
- Maintain and manage the company's corporate legal library, including governance documents, standard agreement templates, and closing documentation.
- Conduct legal research, draft documents, and oversee general legal correspondence under the direction of the General Counsel.
- Proactively identify opportunities to streamline legal workflows and implement best practices for operational excellence.
Corporate Governance & Board Administration
- Oversee corporate governance processes, ensuring compliance with board obligations, shareholder agreements, and corporate policies.
- Manage board governance, including preparation of agendas, board resolutions, meeting minutes, and shareholder communications.
- Administer documentation related to incentive plans, equity programs, and governance structures.
- Act as the primary liaison for board-related governance tasks and shareholder communications.
Contract Administration & Risk Management
- Manage the entire contract lifecycle, including vendor agreements, licensing, and partnership contracts.
- Oversee contract workflows, ensuring accurate documentation, timely execution, and adherence to company standards.
- Partner with procurement and commercial operations to optimize contract processes and approvals.
- Implement contract risk assessment processes to mitigate potential liabilities.
Securities Compliance & Equity Administration
- Oversee securities compliance, including equity and debt financing transactions, unit options, and membership transfers.
- Ensure alignment with the company's cap table, coordinating closely with finance and external transfer agents.
- Support investor relations, corporate disclosures, and reporting obligations.
- Manage due diligence and closing documentation for financing and equity events.
Regulatory & Intellectual Property Oversight
- Ensure compliance with federal and state regulatory requirements, particularly regarding solicitation and donor activities.
- Track regulatory changes, coordinate filings with external counsel, and maintain related documentation.
- Manage the company's intellectual property portfolio, including trademarks, patents, and copyrights, collaborating with external IP counsel.
- Lead IP strategy discussions and coordinate enforcement or protection actions as needed.
Cross-functional Collaboration & Strategic Projects
- Act as a liaison between legal, finance, HR, and operational teams to drive seamless legal operations.
- Support due diligence, special projects, and external counsel relationships.
- Lead process improvement initiatives within the legal function.
- Provide strategic insights and recommendations on legal risk management.
Qualifications & Skills:
- 10+ years of paralegal experience, with significant exposure to corporate governance, legal operations, and contract administration.Expertise in managing complex legal workflows, board governance, and compliance frameworks.
- Strong leadership, organizational, and project management skills, with a focus on cross-functional collaboration.
- Exceptional attention to detail, analytical skills, and the ability to manage multiple priorities.
- Experience in intellectual property, securities, and nonprofit regulatory compliance is a plus.
- Ability to navigate fast-paced, high-growth environments while maintaining operational excellence.
