In this role, you will help evaluate, structure, negotiate, and successfully close M&A transactions and strategic investments to support ServiceNow's rapid growth and product innovation. You will play a key role across the full transaction lifecycle-from early evaluation through closing and beyond-managing diligence and deal processes, negotiating agreements, and helping ensure that transactions large and small move rapidly and efficiently toward a successful close. For positions in this location, we offer a base pay of $193,000 - $337,800, plus equity (when applicable), variable/incentive compensation and benefits. Sales positions generally offer a competitive On Target Earnings (OTE) incentive compensation structure. Please note that the base pay shown is a guideline, and individual total compensation will vary based on factors such as qualifications, skill level, competencies, and work location. We also offer health plans, including flexible spending accounts, a 401(k) Plan with company match, ESPP, matching donations, a flexible time away plan and family leave programs. Compensation is based on the geographic location in which the role is located and is subject to change based on work location.

Responsibilities
As Senior Corporate Counsel, Legal - M&A, you will:
- Drive the successful execution of M&A transactions and strategic investments, helping evaluate, structure, negotiate, and close deals with judgment, speed, and precision.
- Lead and/or assist in legal due diligence, identifying and documenting key risks and insights and communicating them clearly to business stakeholders and cross-functional teams.
- Draft, review, and negotiate core transaction documents, including letters of intent, purchase agreements, and ancillary agreements.
- Provide clear, practical, and timely legal guidance across the deal lifecycle, serving as a trusted, high-EQ partner to help teams stay aligned and make informed decisions.
- Ensure coordinated, efficient deal execution, anticipating issues, resolving roadblocks, and keeping workstreams moving from initial evaluation through closing.
- Support post-closing activities when needed, such as advising on transition matters, counseling teams addressing legacy customer commitments, and partnering with the integration team on post-closing matters.
- Help scale our M&A function efficiently by leveraging the ServiceNow platform and contributing to improved tools, playbooks, templates, and processes.
Qualifications
To be successful in this role you have:
- Broad and demonstrated knowledge of M&A, including diligence, deal structuring, negotiation, closing mechanics, relevant competition and regulatory requirements, and post-closing obligations, with experience owning substantial portions of large or complex transactions.
- At least 5 years of relevant legal experience at a major law firm and/or in-house at a fast-paced technology or enterprise software company.
- Ability to work effectively across functions, exercising excellent judgment and bringing a high-EQ, collaborative approach to cross-functional work.
- Practical, solutions-oriented problem-solving skills, with the ability to translate complex legal and operational issues into clear, actionable guidance.
- Highly organized and proactive, with keen attention to detail, and capable of managing multiple concurrent workstreams while maintaining a calm, steady presence.
- Excellent verbal and written communication skills, with the ability to communicate complex information clearly, concisely, and effectively.
Preferred Experience
- Experience with enterprise software, data-driven workflows, automation, or AI tools.
- Experience with commercial contracting, including interpreting and negotiating customer agreements relevant to diligence findings and post-closing commitments.
- Familiarity with strategic and venture capital investments.
- Experience in cross-border transactions.
