We are looking to add an experienced Senior Commercial Counsel to our multi-national Legal Team! This is a U.S.-based, senior individual contributor role primarily supporting: (i) the global sales team in the negotiation of complex customer agreements for cybersecurity SaaS products and related services, and (ii) the global partner, channels, business development, and alliances teams enabling the distribution of Axonius products and services across the world. In this role you will draft and negotiate all forms of customer and partner agreements, and advise business teams and executive leadership on issues relevant to such transactions and arrangements. You will spot legal and non-legal issues, provide real-time legal advice, workarounds and solutions, understand the practical implications of your legal guidance and drive implementation to close strategic deals with recognizable name-brands. The ideal candidate will be a business-minded transactional lawyer who is focused on execution, prepared to collaborate with our Sales, Marketing, Customer Success, Product, InfoSec and other teams within the company, and thrives when given the autonomy to “run their own practice” and independently manage their own workload/workflow. This role provides the opportunity to use your legal expertise and business acumen to have an immediate impact on a dynamic SaaS/technology company at the cutting edge of the cybersecurity industry.

Responsibilities
  • Draft, review, and negotiate a wide variety of commercial agreements (including SaaS/licensing, reseller/distribution, and vendor/supplier agreements) to complete complex software licensing transactions.
  • Guide the company throughout its commercial deal cycles, navigating the procurement requirements of highly-regulated enterprises and large organizations.
  • Develop and refine the company's contract management policies, operations, and negotiation playbooks, driving continuous improvement.
  • Provide specialized legal counsel for new product design/deployment and on evolving commercial and regulatory requirements.
Minimum Qualifications
  • 5+ years of post-education, full-time legal contracting experience as an attorney in (i) the in-house legal department of a start-up or established technology company, and/or (ii) the transactional-focused practice group (e.g., Corporate, M&A, Venture Capital and/or IP fields) of a national/multi-national law firm.
  • Deep experience supporting the commercial Go-to-Market function of a global B2B organization, including independently leading the drafting, review and negotiation of complex commercial SaaS/licensing, master services and channel partner agreements.
  • Proven ability to work independently and own projects/deals from start to finish within a "free-market/self-assigning" workflow environment.
  • JD degree from an accredited law school and current Bar admission in good standing in the U.S.
Preferred Qualifications
  • Experience as an in-house commercial attorney at a high-growth tech/SaaS company in the cybersecurity industry.
  • Experience with negotiation playbook development and scaling legal support functions for sales and partner programs.
  • Experience with U.S. federal, state, and/or local governmental contracting.
  • Familiarity with EU, UK, and/or Israeli laws and regulations.
  • Experience with project management and leading related training and enablement projects.

Annual Salary Range (bonus and equity included in addition to the below numbers)
$190,000$220,000 USD
