Summary:

This role is responsible for providing contract-focused legal support across OneDigital’s Financial Services businesses. The Contracts Counsel serves as a central resource for drafting, reviewing, negotiating, and maintaining a wide range of agreements, with a primary emphasis on plan sponsor agreements, fintech and vendor contracts, nondisclosure agreements, sub-advisory and promoter contracts, and general commercial agreements. The scope of work intersects with regulated financial-services activities, requiring comfort operating alongside ERISA- and securities-regulated business models, while remaining grounded in strong commercial contracting judgment, risk assessment, and practical business partnership in a fast-paced environment.

Essential Duties and Responsibilities (includes but is not limited to):

  • Draft, review, negotiate, and maintain client-facing agreements, including contracts with plan sponsors for fiduciary and non-fiduciary services.
  • Draft, review, and negotiate vendor and fintech agreements, including technology licensing, SaaS agreements, data-sharing agreements, and implementation or integration contracts.
  • Support general commercial contracting needs across the business, including NDAs, service agreements, consulting agreements, amendments, and contract renewals.
  •  Develop, maintain, and continuously improve standardized contract templates, clause libraries, and playbooks to support scalability and efficiency.
  • Partner with internal stakeholders to identify legal, regulatory, operational, and reputational risks within contracts and recommend practical mitigation strategies.
  • Collaborate with Compliance, Corporate Counsel, and practice leaders to ensure contractual terms align with regulatory obligations, internal standards, and business objectives.
  • Provide contract-related guidance during client escalations, vendor disputes, and issue resolution efforts.
  • Support due diligence and integration activities for mergers, acquisitions, and strategic partnerships, with a focus on contract review and risk assessment.
  •  Assist with privacy and data protection considerations within contracts, including confidentiality, data use, and data security provisions.
  • Support the procurement of insurance policies, including errors and omissions (E&O) coverage and fidelity bonds, as applicable.
  • Track and manage contract lifecycle processes, including approvals, execution, storage, and renewals.
  • Stay informed on legal and industry developments affecting commercial contracts within financial services and provide guidance to internal teams as appropriate.
  • Collaborate with internal teams to improve contracting workflows, processes, and tools to drive efficiency and consistency.
  •  Perform other duties and special projects as assigned.

Qualifications, Skills and Requirements:

  • Strong foundation in commercial contract drafting, negotiation, and interpretation.
  • Ability to quickly understand complex service offerings, technology solutions, and business models and translate them into clear contractual terms.
  • Experience assessing and balancing legal risk with business objectives.
  • Ability to draft and negotiate agreements that support scalability while protecting the organization from legal and financial exposure.
  • Strong legal research and analytical skills.
  • Excellent written and verbal communication skills, with the ability to explain legal concepts to non-legal stakeholders.
  • High attention to detail and strong organizational skills.
  • Ability to manage multiple priorities and deadlines in a dynamic environment.
  • Strong interpersonal skills and a collaborative, solution-oriented approach.
  • Ability to work independently with minimal supervision while maintaining high quality work product.
  • Commitment to professionalism, confidentiality, and ethical standards.
  •  Proficiency with Microsoft Word and Adobe Acrobat; experience with contract management systems a plus.
  • Adaptability and comfort operating in a rapidly evolving business and regulatory environment.

Education, Training, and Experience:

  • Juris Doctorate from an ABA-accredited law school.
  • Admission, in good standing, to at least one state bar.
  • Minimum 3 years of experience in a contracts-focused legal role, preferably for an investment advisory or brokerage firm.
  • Familiarity with the Employee Retirement Income Security Act of 1974 (ERISA) and/or the Investment Advisers Act of 1940 (Advisers Act) is not required but is strongly preferred as understanding the regulatory framework is helpful for navigating the business context in which contracts are executed.

The typical base pay range for this role nationwide is $110,000 to $130,000 per year.
