About the Role:

We are seeking a detail-oriented, proactive, and highly skilled Paralegal II to support our Corporate Legal team. This role will play a key part in managing corporate governance, entity management, equity matters, and cross-functional legal processes that support the company’s growth and compliance initiatives. The ideal candidate will bring a strong understanding of corporate legal operations, exceptional organizational abilities, and a passion for driving process improvements in a dynamic, fast-paced environment. You Will:
  • Assist with filing Section 16 filings (Forms 3, 4, and 5) and EDGAR Next enrollments.

  • Assist with periodic reports (10-K, 10-Q, 8-K) and other registration statements filed with the U.S. Securities and Exchange Commission (SEC).

  • Assist in the preparation of the annual proxy statement and coordination of the annual shareholder meeting, including notice of meetings, proxy materials, and NYSE filings.

  • Support corporate governance and entity management matters, including maintaining minute books, organizational documents, and legal records for U.S. and international subsidiaries.

  • Assist in board and committee meeting preparation, including compiling materials, drafting resolutions and consents, and maintaining corporate committee calendars.

  • Review, update, and track corporate policies, charters, and compliance documents across the organization.

  • Assist in annual insurance programs renewals.

  • Support legal due diligence and documentation in connection with corporate transactions, such as financings, M&A, and strategic partnerships.

  • Conduct legal and factual research to support corporate and securities law compliance initiatives.

  • Support cross-functional legal initiatives involving employment, compliance, privacy, or commercial teams, as needed.

You Have:
  • A Bachelor’s Degree in a relevant field, with a Paralegal Certificate from an ABA-approved program strongly preferred.

  • 5+ years of paralegal experience, ideally in a law firm or in-house legal department, with a clear focus on corporate governance, equity, and general corporate law.

  • Proficiency in Google and Microsoft product suite as well as experience with legal operations tools, including equity platforms, entity management platforms, contract lifecycle management tools, and board management platforms.

  • A strong understanding of corporate legal frameworks, including entity formation, board governance, securities compliance, and the management of complex documentation.

  • Demonstrated project management and organizational skills, with a track record of effectively managing multiple corporate matters and recurring deadlines.

  • A collaborative and professional demeanor with excellent communication skills and the discretion to handle sensitive and confidential information with the utmost care.

Preferred Skills:
  • Prior experience supporting a public company or one preparing for IPO-readiness.

  • Experience with Section 16 reporting and filings, SEC filings, and public company governance requirements.

  • Experience working cross-functionally with Finance, Tax, HR, Compliance, and Legal teams.

  • Strong interest in improving systems, streamlining operations, and scaling legal processes.
