Pillsbury is seeking a Corporate/Securities Paralegal with 3 to 6 years of experience to join its Silicon Valley office. The ideal candidate will have experience supporting attorneys with corporate transactions including IPO’s, mergers and acquisitions, re-incorporations, stock option plans and venture capital financings. This role services a broad array of clients including technology startups, emerging growth companies as well as public firms and will provide a varied work experience, with a focus on incorporating high tech companies, support due diligence efforts, perform corporate records management, administration, and implementation of stock option plans, handle venture capital financings, and conduct blue sky research.
The exemplary applicant must demonstrate a high-level of integrity, the ability to think critically, possess highly effective project and time management skills with a solid attention to detail, as well as have superior communication skills and exceptional organizational ability. Must have a BA/BS degree or equivalent and a minimum of 3 years of directly related work experience. Candidates should have experience supporting IPOs from start to finish, be experienced and diligent in maintaining all corporate governance documents including minute books and closing binders for complex transactions. Experience with stock options, stock splits and cap table management software (e.g., eProsper, Carta, etc.) is essential. Excellent computer skills required, including DocuSign, MS Office (Word, Excel, Outlook). Flexibility to work overtime as requested.
Primary Responsibilities

Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)

Assist with management and maintenance of capitalization records

Aid in drafting and filing federal and blue sky securities filings and notices

Support attorneys in the preparation of formation and initial financing documents

Preparation and maintenance of corporate records

Assist in the preparation of closing documents and perform post-closing tasks
Qualifications
-
Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experience

Prior experience with Carta, Shareworks, or other capitalization management software

Demonstrate knowledge of capitalization fundamentals

Ability to read and interpret spreadsheets, plan documents and security-related agreements

Understanding of transaction types and securities law requirements

Proficiency in Excel, including complex sorting/filtering of data, formulas and functions, pivot tables, analysis, and modeling

Basic understanding of equity compensation accounting

Ability to maintain the integrity of highly confidential information
-
ECA designation or CEP certification is a plus
Qualified applicants with arrest and conviction records will be considered for the position in accordance with the California Fair Chance Act. California Pay range for this role, with final offer amount dependent on skillset and experience $110,000-$130,000.
