As we continue to expand internationally, we are seeking a Corporate Paralegal to support our legal operations across multiple jurisdictions.
Role OverviewThe Corporate Paralegal will support the Legal Department in managing corporate governance, entity maintenance, documentation, and compliance for our U.S. and international subsidiaries. This role is ideal for someone who is detail-oriented, proactive, and experienced in handling corporate legal matters in a fast-paced, global environment. This is a fully remote role based in the United States.
Key ResponsibilitiesCorporate Governance & Documentation
- Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, powers of attorney, officer certificates, and corporate authorizations.
- Maintain and update minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities.
- Ensure accurate and up-to-date entity information within internal systems.
Entity Management & Filings
- Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
- Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings.
- Manage the execution, notarization, apostille, and legalization of documents where required.
Compliance & Internal Support
- Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities.
- Coordinate signatures and facilitate document circulation and approval workflows.
- Assist Legal Counsel with legal research, document organization, and preparation of reports or internal summaries.
RequirementsQualifications
Required:
- Diploma/Certificate in Paralegal Studies or equivalent professional experience.
- 2+ years of experience in corporate law, legal operations, or in-house legal support.
- Strong knowledge of U.S. corporate governance, entity maintenance, and multi-state filings.
- Excellent drafting skills, organization, and meticulous attention to detail.
- Proficiency in Microsoft Office and legal/document management tools.
Preferred:
- Experience working with multinational entities (e.g., Canada, Europe, Middle East, APAC).
- Experience in technology, SaaS, or private-equity-backed organizations.
- Bilingual (English/French or Spanish) considered an asset.
