JOB DESCRIPTION:
The Manager of Securitization Reporting and Compliance will be responsible for overseeing all financial reporting and regulatory compliance activities related to Driven’s whole business securitization transactions. This includes ensuring accurate and timely submission of collections reports, adherence to all covenants and obligations outlined in the securitization documents, and managing interactions with rating agencies, trustees, and servicers. This role requires a strong background in structured finance, financial reporting, and regulatory compliance, preferably within a franchised or royalty-heavy industry.
How you will Own It:Reporting & Financial Management- Oversee and execute the preparation, review, and timely distribution of all periodic and ad-hoc investor reports as required by the WBS legal documents (e.g., quarterly, monthly, or special reports).
- Manage the calculation and certification of key performance indicators (KPIs), collateral coverage tests, debt service coverage ratios (DSCR), and other metrics crucial to the securitization's ongoing performance.
- Coordinate with internal teams (e.g., Accounting, Treasury, Legal, Operations) to gather and validate underlying data for reporting.
- Manage the flow of funds and payment waterfall calculations, ensuring accurate allocation and timely remittance of funds to all parties, including servicers, noteholders, and the company.
- Monitor and ensure strict compliance with all covenants, triggers, and representations and warranties contained within the WBS offering memorandums, indentures, and related agreements.
- Act as the primary point of contact for the trustee, servicer, back-up manager, and other third-party service providers regarding reporting and compliance matters.
- Oversee and coordinate internal and external compliance audits related to the WBS structure.
- Maintain and update internal controls and documentation over the WBS reporting process.
- Prepare and present performance updates to the back-up manager and rating agencies, often in collaboration with the Treasury and Finance teams.
- Manage all rating agency surveillance requirements, including data submissions and responding to inquiries regarding the credit profile and performance of the securitized assets.
- Assist in due diligence and reporting related to potential future WBS refinancings or new issuances.
- Exceptional attention to detail and accuracy in financial data.
- Excellent written and verbal communication skills for effective interaction with senior management, third parties, and external counsel.
- Strong project management and organizational skills with the ability to manage multiple priorities simultaneously.
- High degree of integrity and professional ethics in handling confidential financial information.
- Ability to work both independently and collaboratively within a team environment
- Bachelor's degree in Finance, Accounting, Economics, or a related field.
- 5+ years of experience in structured finance, capital markets, treasury, or corporate finance, with direct experience in asset-backed securities (ABS) or whole business securitization (WBS).
- Strong knowledge of WBS legal documentation (e.g., Indentures, Servicing Agreements, Offering Memorandums) and the mechanics of debt service and waterfall calculations.
- Strong financial modeling and analytical skills, including advanced proficiency in Microsoft Excel.
- Proven track record of managing complex reporting processes under tight deadlines.
- CPA, CFA, or advanced degree (MBA).
- Experience working with servicers, trustees, or custodians in a structured finance capacity.
- Prior experience in the restaurant, franchise, or royalty-based industry.
