We are seeking an M&A Attorney to join our legal team and support global acquisitions, divestitures, restructurings, and corporate legal matters.
The ideal candidate is a mid to senior-level M&A associate from a reputable law firm or in-house team, with experience in software or technology transactions. This role is hands-on and requires someone who is comfortable leading deals end-to-end, including drafting and negotiating agreements and managing due diligence and closing processes.
This is an individual contributor role with no direct reports and will report directly to the General Counsel.
Key Responsibilities
• Lead the drafting, negotiation, and execution of M&A transaction documents, including stock and asset purchase agreements, merger agreements, transition services agreements, and ancillary documents.
• Conduct and supervise legal due diligence, particularly for software, SaaS, technology, intellectual property, data privacy, and licensing matters.
• Coordinate with finance, HR, operations, and tax teams to structure deals, manage closing timelines, and support post-closing integration.
• Work with external legal counsel on multi-jurisdictional matters, regulatory filings, and cross-border structuring.
• Support corporate governance, entity formation, restructurings, and internal legal processes across the portfolio.
• Draft and review NDAs, LOIs, corporate approvals, employment agreements, and board and shareholder consents.
• Provide legal guidance to internal stakeholders on software licensing, IP ownership, commercial contracts, and data protection issues during transactions.
Requirements
• Law degree (JD or equivalent) and licensed to practice in a relevant jurisdiction.
• 5 to 8 years of M&A experience at a top law firm or in-house legal team.
• Proven ability to lead M&A transactions independently, including drafting definitive agreements and managing diligence.
• Experience with technology or software transactions, including IP ownership, SaaS licensing, data security, and customer contract review.
• Strong negotiation skills, attention to detail, and ability to manage multiple deals simultaneously.
• Ability to work cross-functionally in a fast-paced, entrepreneurial environment.
Preferred
• Experience with cross-border or multi-jurisdictional deals.
• In-house experience with a software company, private equity firm, or investment company.
• Familiarity with post-acquisition integration and legal entity setup.
