Job Description
We are seeking an experienced, highly motivated, and pragmatic problem-solver to join us as Corporate Counsel supporting ServiceNow's Software-as-a-Service (SaaS) and Professional Services commercial sales organization. This is an excellent opportunity to work on cutting-edge matters in an exciting and dynamic environment. This full-time position offers flexibility to work from our Toronto or Montreal offices, with the option to work remotely.
What you get to do in this role:
  • Review and negotiate Software-as-a-Service license agreements, professional services agreements, purchase orders, statements of work, non-disclosure agreements and other commercial sales-related contracts in compliance with company requirements and policies, including risk tolerance, while working closely with the sales organization and senior executives.
  • Act as a subject-matter expert in responding to requests for proposals (RFPs) and other competitive solicitations.
  • Collaborate with Finance, Sales, the Deal Desk, Product Operations, Customer Support, Security, and other business units at all levels of the organization to ensure agreements adequately protect the company's interests.
  • Support the continuous improvement of standard agreement templates and legal processes.
  • Serve as a trusted business partner by responding to internal client requests in a timely and productive manner.
  • Advise and train internal clients on company policies, legal issues, and risk tolerance.

Qualifications
To be successful in this role you have:
  • Undergraduate degree and law degree from reputable institutions;
  • Valid license to practice law in the applicable jurisdiction;
  • Minimum of 8 years of relevant experience in a large law firm or in-house, with extensive experience handling commercial contracts for SaaS or software licensing transactions and supporting a sales organization;
  • Bilingual in English and French, with experience reviewing, drafting, and negotiating contracts in both languages;
  • Familiarity with the channel (distributors, resellers) and related issues;
  • Understanding of Canadian, U.S., and European personal data protection laws and regulations;
  • Experience collaborating cross-functionally with internal organizations to resolve issues.
  • Demonstrate excellent negotiation and influencing skills, with a talent for non-adversarial negotiations that benefit both parties;
  • Exhibit exceptional critical thinking, strong business acumen, and sound judgment, with the ability to work independently, manage multiple priorities, and shift between responsibilities in a fast-paced, high-growth environment;
