As a Legal Counsel, you will report to the Chief Legal Officer and join an experienced, close-knit team that advises across all aspects of TRM’s rapidly-growing global business. The team provides timely, ethically-sound, and commercially-savvy advice on matters including commercial disputes and regulatory matters, contract negotiations, product counseling, compliance with global laws and regulations (including privacy and AI-related issues), dispute avoidance/resolution, corporate governance, and overall risk management. Success is measured by how effectively and efficiently the Legal team empowers others throughout TRM to make complex decisions in the best interests of the company.
The impact you’ll have here:
- Provide litigation and regulatory support across the enterprise, including advising on sales, privacy, AI, employment, and product issues.
- Proactively monitor global legal and business developments and trends in digital assets, privacy, artificial intelligence, threat intelligence, and other areas.
- Assist in strategic transactions, including M&A and corporate finance transactions; assist in corporate formations and entity management; and advise on equity plan administration.
- Partner with HR, Finance, and IT leaders on shared services projects involving various issues, including corporate transactions, data privacy, cybersecurity, government contracts, etc.
- Proactively monitor global legal and business developments and trends in digital assets, privacy, artificial intelligence, threat intelligence, and other areas.
- Support the Go To Market (“GTM”) team with public sector sales-related legal requests in a prompt and timely manner.
- Support commercial team in negotiation and management of a wide variety of commercial and vendor agreements, including master subscription/service agreements, software licensing and SaaS agreements, statements of work, professional service agreements, NDAs, RFP responses, etc.
- Assist and own legal operations projects, including efforts to expand AI adoption, streamline internal processes, and improve efficiencies to cut down on administrative tasks.
- Assist on other legal matters impacting the Company as necessary.
What we’re looking for:
- At least 4-5 years’ prior experience working in-house, at a reputable law firm, or in a government agency. Tech or web3/blockchain industry experience is helpful but not required.
- Experience handling litigation and regulatory matters, including advising non-attorney clients on compliance with fast-moving global legal requirements, and mitigating/resolving potential disputes.
- Experience with strategic transactions and corporate governance, or a willingness to learn this area.
- Effective communicator, self-starter, willing to learn, and humble, with a sense of humor.
- Must be service-oriented and client-friendly in a fast-paced dynamic environment. A successful candidate will need to meet tight deadlines and properly manage client expectations while juggling multiple priorities.
- Must have executive presence to successfully negotiate with outside vendors, outside counsel, internal and external clients, etc.
- Juris Doctor (JD) degree from an accredited U.S. law school, with active bar membership in good standing of at least one U.S. state bar.

The estimated base salary range for this role is $170,000 - $200,000. Additionally, this role may be eligible to participate in TRM’s equity plan.
