Job Description
Strategic Transactions Legal negotiates some of the most exciting strategic partnerships in Consumer & Community Banking (CCB). We are looking for a talented transactional attorney, trusted legal advisor, and dedicated manager and leader to lead the team in driving this critical work.
As the Head of Strategic Transactions Legal within the Card Services team, you will lead the team providing legal counsel on a variety of strategic deals across the bank's CCB businesses. The primary responsibilities of the role will include managing a high-performing team of transactional attorneys, drafting and negotiating agreements (such as co-brand card partnerships, card benefits and marketing arrangements, digital integrations, and other types of broad-based strategic partnership agreements) with household-name counterparties. The role will provide the opportunity for significant cross-functional and cross-legal department collaboration and require the delivery of timely, clear, and pragmatic legal advice to the business. Job responsibilities
  • Draft and negotiate agreements for key CCB strategic partnerships and engagements.
  • Provide strategic, commercially pragmatic, and transparent advice to business partners.
  • Provide ongoing support and assistance to business partners, other legal teams and functional partners, including as to contract interpretation.
  • Provide early stage "seat at the table" strategy and pre-term sheet legal support, including issue-spotting, researching, and appropriately escalating risks and concerns that may exist with any potential deal type.
  • Manage a high-performing team of transactional attorneys with fast-moving stakeholders on enterprise-critical transactions, including managing team workloads and interacting with the leaders of business units, corporate development, and other cross-functional teams.
  • Participate in cross line of business initiatives.
  • Manage external counsel on critical deals.

Required qualifications, capabilities and skills
  • Licensed attorney with at least 10 years of legal experience.
  • Strong collaboration and people-management skills.
  • On-point transactional experience with strong technical drafting skills.
  • The ability to stay calm when the pressure is on and the confidence to be outspoken when necessary while maintaining a good sense of humor.
  • Entrepreneurial, business-minded, and a creative problem solver.
  • The ability to see past the question, understand the wider strategy, and think tactically to get to the best result for all parties.
  • The ability to pivot between priorities and have the perseverance and patience to see a matter through to completion.

Preferred qualification, capabilities, and skills
  • Prior in-house experience, financial services experience, and/or experience with technology/digital transactions and partnership agreements would be a significant plus.
