About The Opportunity
As Counsel, you will be a key member of our dynamic legal team, focusing on a wide range of commercial and transactional matters supporting various business verticals, including our campus, corporate, and marketplace initiatives. You will independently manage a diverse workflow, providing pragmatic, business-oriented legal advice. You will draft and negotiate agreements, advise on business strategies and product development, and develop resources to help scale legal support. This role requires exercising sound judgment, taking an ownership mindset, and building strong relationships with internal business clients.
The ideal candidate will be a corporate lawyer with outstanding drafting and negotiating skills, organizational capabilities, attention to detail, execution and follow-through. This person is also a creative problem-solver, a self-starter with a great attitude and a team player.
The Impact You Will Make
- Commercial Transactions: Draft, negotiate, and structure a wide range of commercial agreements, including complex deals with corporate and campus partners, vendors, and merchants, as well as related ancillary agreements (e.g., online terms and conditions, data processing agreements) and routine leases/subleases.
- Product & Compliance Support: Advise business, product, and marketing teams to ensure legal compliance with evolving regulations. Become a go-to resource on certain compliance issues such as marketplace facilitator laws, alcohol payment and delivery, and other key regulatory areas.
- Corporate & Governance Matters: Oversee selected corporate initiatives and interface with our parent company on intercompany governance and transactional matters.
- Operational Support: Respond to ordinary course legal inquiries involving merchants, vendors, and diners. Manage liens, levies, and other governmental inquiries as needed.
- Process Improvement: Create and maintain legal playbooks, FAQs, client-facing guides, and internal tools to drive efficiency and consistency across the organization.
- Cross-Functional Projects: Assist on a wide variety of legal projects, including corporate transactions, contract management, and oversight of external counsel.
- Risk & Issue Spotting: Identify sensitive legal and business concerns with accuracy and efficiency, helping the business navigate risks while achieving objectives.
What You Bring to the Table
- Experience: 6 years of relevant legal experience, preferably including in-house counsel work. Strong foundation in commercial contracts and corporate transactions.
- Education & Licensing: JD from an accredited law school and active admission to a U.S. state bar. Must be able to work on a hybrid schedule from our Chicago or NYC office.
- Legal Skills: Proven ability to draft, negotiate, and close a broad variety of customer and vendor facing commercial agreements. Familiarity with compliance frameworks, particularly those affecting marketplaces and regulated goods, is a plus.

The base salary range for this position is below:
$168,000-$202,000
Grubhub uses geographic-specific salary structures, which means the salary offered may vary depending on where the job is located. The final salary offer will take into account various factors, such as the candidate's skills, education, training, credentials, and experience.
