We are seeking an experienced and detail-oriented Corporate Paralegal to join our legal team. The ideal candidate will possess a strong background in corporate record keeping, real estate transactions, commercial contracting, and managing non-disclosure agreements (NDAs). Proficiency with legal technology—including Contract Management Systems, Excel, Microsoft Word, DocuSign, and Adobe Sign—is essential for this role. Excellent organizational and communication skills, the ability to manage multiple priorities efficiently, and a deep understanding of corporate law are required.What You Need to Know:
  • Corporate Record Keeping: Maintain corporate books and records, including minutes, resolutions, board and shareholder consents, stock ledgers, and regulatory filings.
  • Entity Management: Assist with the formation, dissolution, and ongoing compliance requirements of corporations, LLCs, partnerships, and other business entities.
  • Real Estate Support: Draft, review, and coordinate real estate documents such as leases, purchase and sale agreements, title reviews, and closing documents. Assist with due diligence and property management documentation.
  • Commercial Contracting: Prepare, review, and manage a variety of commercial contracts, including vendor agreements, service contracts, and procurement documents. Ensure contracts align with company policies and legal compliance, leveraging Contract Management Systems to track and organize documentation.
  • NDAs: Draft, review, and track non-disclosure agreements for employees, vendors, business partners, and other third parties. Maintain an organized database of executed NDAs.
  • Legal Research: Conduct research on corporate, real estate, and contract law as needed to support legal counsel and business decisions.
  • Prepare and analyze reports from various databases for the Department as needed.
  • Perform special projects at the direction of in-house counsel.
  • Recommend and work on improvements to company practices and processes.
  • Analyze outside counsel and vendor bills to ensure adherence to billing guidelines and budgeting requirements.  Audit to identify non-compliance with guidelines. 
  • Review and monitor case budgets, including analysis of budget vs. spend.
  • Draft and prepare complex legal documents, correspondence, and pleadings related to litigation and non-litigation matters.
  • Corporate Transactions: Provide support for mergers, acquisitions, financings, and other corporate transactions, including due diligence, document preparation, and closing logistics.
  • Administrative Support: Coordinate with internal stakeholders, outside counsel, and regulatory agencies. Manage calendaring, legal correspondence, and filing systems.
  • Legal Technology: Utilize Excel and Microsoft Word for document creation, organization, and analysis. Manage electronic document execution and signature processes through DocuSign and Adobe Sign.
What We Are Looking For:
  • Bachelor’s degree or Paralegal Certificate from an accredited program.
  • 5+ years of experience as a corporate paralegal, preferably in a law firm or in-house legal department.
  • Comprehensive knowledge of corporate governance, entity management, and regulatory compliance.
  • Proven experience supporting real estate transactions and commercial contracting processes.
  • Strong drafting, proofreading, and contract review skills.
  • Excellent organizational and time management skills with keen attention to detail.
  • Proficiency in Microsoft Office Suite, with advanced skills in Excel and Microsoft Word.
  • Experience with Contract Management Systems for tracking, editing, and archiving contracts.
  • Familiarity with electronic signature platforms such as DocuSign and Adobe Sign.
  • Ability to manage sensitive information with integrity and discretion.
  • Exceptional written and verbal communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Experience with legal project management software or entity management platforms preferred
  • Familiarity with real estate procedures preferred.
  • Ability to work independently and as part of a team preferred.
  • Active Notary Public preferred.
