We’re seeking a seasoned and proactive Corporate Paralegal with deep expertise in foreign entity management to support our rapidly scaling global SaaS business. As a key contributor on the Legal team, you’ll lead and independently manage our global network of subsidiaries—ensuring compliance, governance, and strategic readiness across jurisdictions. This position plays a pivotal role in enabling Abnormal’s international expansion efforts and guiding the company through complex, high-impact legal processes.

You’ll be responsible for applying expert judgment, refining procedures, and influencing best practices across the global corporate governance lifecycle.
What you will do- Lead the full lifecycle of foreign entities—from formation to maintenance—across North America, EMEA, and APAC, ensuring regulatory compliance and operational readiness.
- Serve as the primary point of contact for internal stakeholders (Finance, Tax, HR, Compliance) to establish new subsidiaries in support of international expansion.
- Own relationships with external legal counsel and global service providers to drive efficient registration, governance, and compliance activities.
- Direct and refine internal governance practices, maintaining centralized, accurate records via an entity management platform (e.g., Mercator). Evaluate and implement new technology tools and platforms as necessary.
- Guide and oversee third-party Entity Managers in the drafting and upkeep of key documentation, including incorporation papers, resolutions, officer/director updates, and powers of attorney.
- Create and manage robust tracking systems for deadlines, annual filings, and other jurisdiction-specific requirements to ensure ongoing compliance.
- Act as a senior contributor on cross-functional international legal projects, including M&A readiness, restructuring, or tax planning initiatives.
- Lead compliance management for U.S. state registrations and filings.
- Support broader legal department projects and strategic initiatives as needed.
- Bachelor’s degree and/or Paralegal Certification required.
- 8+ years of progressive corporate paralegal experience, ideally in a combination of big law and high-growth multinational SaaS environments.
- Deep subject-matter expertise in foreign entity formation and lifecycle management.
- Strong command of governance frameworks, regulatory requirements, and cross-border legal implications.
- Demonstrated ability to manage ambiguity, evaluate complex data, and develop scalable legal solutions across jurisdictions.
- Experience managing cross-functional relationships and communicating effectively with executive stakeholders.
- Highly organized with a meticulous attention to detail and the ability to manage competing priorities.
- Proficient with leading entity management platforms (e.g., Mercator).
Proven track record of thought leadership and process improvement within corporate governance functions.
Nice to Have- Experience with high-growth SaaS entity structures, including jurisdictions such as the UK, Australia, Singapore, Canada, Netherlands, India, among others.
- Background in intercompany agreements, entity rationalization, or international restructuring projects.
