WHAT WE’LL NEED

We are looking for a new Corporate Counsel with demonstrated experience working on public company and general corporate and transactional legal matters, including with respect to technology, franchising initiatives and supply chain needs.

Ensuring legal compliance in areas like federal securities law and domestic/international commercial relationships will be at the forefront of this position. This is a highly visible role. 

In this role, you will: 

  • Draft, review, and negotiate a wide range of commercial agreements that support a variety of areas including real estate, construction, M&A, technology, domestic supply chain, enterprise solutions, and franchise compliance. 

  • Draft and negotiate commercial retail leases, tenant estoppels, SNDAs and other related agreements.

  • Draft and review franchise-related agreements, vendor/supplier contracts, confidentiality agreements, consulting agreements, master service agreements, manufacturing agreements, licensing agreements, order forms, NDAs, and letters of intent.

  • Ensure legal compliance in areas like domestic commercial relationships, and international/federal/state data privacy laws.

  • Collaborate with other members of the legal team on a variety of strategic initiatives, as well as SMEs concerning issues of privacy and information security.

  • Assist with franchising initiatives.

  • Contribute to the legal team by identifying and implementing improvements in processes and templates that drive growth within the company.

  • Respond promptly to internal team requests, communicating legal risk in a way that balances risks with business objectives.

  • Other duties and special projects as assigned. Other duties as assigned.

 

WHAT YOU’LL NEED

 

  • Juris Doctor (JD) from a nationally recognized law school and active membership in a state bar

  • 5–8 years of legal experience in transactions, contracting, and general corporate matters, with progressive responsibility

  • Ability to work effectively both independently and collaboratively within a team environment

  • Strong interpersonal skills with a demonstrated ability to engage and collaborate with external partners and vendors

  • Commitment to excellence and continuous professional growth, with an interest in franchising and general commercial contracts

  • High emotional intelligence with experience advising on a broad range of corporate legal matters

  • Proven experience drafting, reviewing, and negotiating contracts and agreements

  • Excellent written, verbal, and analytical skills that support effective and productive working relationships

  • Demonstrated leadership, sound business judgment, and strategic thinking capabilities

  • Ability to identify and mitigate risks, resolve complex issues, and deliver strong business outcomes
