What You Will Do

As a Contracts Manager, you will report to the Sr. Manager within Trimble's Global Software Governance organization.  You will primarily support the Licensing, Global Sourcing and Global Component Management divisions of Trimble in reviewing, negotiating, and administering vendor contracts and other related documents for Trimble’s vendors and partners, including inbound Software-as-a-Service (SaaS) agreements, consulting agreements, data processing addendums (DPA’s), non-disclosure and event agreements. You will be expected to work independently with internal business clients using templates and playbooks to review,  modify and negotiate inbound vendor agreements that adhere to company requirements. You should be a highly collaborative person who is able to provide proactive and creative solutions and strategies that are responsive to the needs of internal business clients including IS, sourcing, business segment, marketing, risk management, privacy and security teams.

Key Responsibilities & Duties

  • Vendor Agreement Contract Review: Conduct thorough contract review of inbound vendor agreements. Review and analyze information related to the scope and risks under the contract; use existing Trimble agreements where possible, create new agreements/addenda as needed, make redlines and comments based on sound logic and rationale with reference to available playbooks and guidance, escalating as needed within the Software Governance/legal teams; advance contract toward resolution by communicating frequently with internal and external stakeholders.
  • Contract Negotiation: Negotiate contractual terms and conditions with reference to company requirements and risk tolerance while maintaining professionalism and a customer service-based approach.
  • Organization and Process Management: Proactively identify areas to increase scalability and efficiency in the vendor contracting process, proposing and implementing new policies and procedures as needed.
  • Special projects as assigned.

What Skills & Experience You Should Bring:

  • Bachelor's degree, paralegal degree, or paralegal certificate.
  • 3 years’ experience working in a contracts administration, contract negotiation, or a similar role.
  • Strong understanding of contract law and legal principles, including data privacy and security.  Experience with reviewing and negotiating inbound software vendor agreements is required.  Familiarity with hardware component manufacturing and event planning/hotel agreements is preferred.
  • Excellent negotiation and communication skills.
  • Highly organized and detail-oriented with an aptitude to thrive in a fast paced environment.
  • Outstanding critical thinking skills.
  • Ability to leverage technology to streamline processes.
  • Able to adapt to different situations and work effectively with different groups of people.
  • Ability to manage multiple projects and adapt to changing priorities.
  • Ability to represent the company in a positive and professional manner.

In a hybrid role, you will work with your manager to establish a mutually agreeable schedule for your time working in the office based on the position and the business need. Typically hybrid positions are 1-3 days per week, or 20%-60% of the month in the office.

This compensation range is based on a full time schedule.
