Role Overview

Technosylva is seeking an experienced Associate General Counsel (AGC) to lead and manage commercial contracting activities and provide strategic legal guidance across our growing global business. This role will serve as a trusted legal advisor to the Sales, Customer Success, and Operations teams, ensuring that contracts support business goals while managing legal and commercial risk.

The ideal candidate has a strong background in drafting, reviewing, and negotiating complex technology agreements, with deep familiarity in SaaS, data licensing, and professional services contracts. You thrive in a fast-paced, mission-driven environment and can balance business needs with practical, risk-based advice.

Responsibilities

  • Draft, review, and negotiate a wide range of contracts including SaaS agreements, professional services, data licensing, reseller and partnership agreements, and NDAs.
  • Collaborate closely with Sales, Finance, and Customer Success to support contract negotiations and ensure alignment with business objectives.
  • Identify, assess, and mitigate contractual and business risks while maintaining deal momentum.
  • Develop and maintain standardized templates, playbooks, and processes to improve efficiency and consistency in commercial contracting.
  • Ensure contracts comply with applicable laws, regulations, and internal policies, including data privacy, export control, and cybersecurity requirements.
  • Work with Product, Security, and IT to align customer commitments with technical capabilities and policies.
  • Provide training to business teams on contracting principles, risk management, and legal processes.
  • Special Projects: Support the General Counsel with corporate, employment, and regulatory matters as needed.

 

Requirements

Required

  • Juris Doctor (JD) degree and active license to practice law in at least one U.S. jurisdiction.
  • 10+ years of relevant legal experience, including at least 3 years focused on commercial contracting within a technology, SaaS, or data-driven organization.
  • Strong understanding of contract law, intellectual property, data privacy, and regulatory compliance.
  • Proven ability to draft and negotiate complex commercial agreements independently.
  • Business-oriented mindset with the ability to balance legal risk and commercial goals.
  • Excellent written and verbal communication skills; capable of explaining complex legal concepts clearly.
  • Collaborative, pragmatic, and comfortable working in a global, cross-functional environment.
  • Comfortable exploring and adopting legal AI tools to drive innovation, efficiency, and accuracy in contract management and legal operations.

Preferred

  • Experience supporting customers in government, utilities, or critical infrastructure sectors.
  • Knowledge of international contracting and data transfer considerations (especially in the EU and Canada).
  • Prior in-house experience at a growth-stage or mid-size technology company.
