About the RoleThe Flourish Legal and Compliance team is a small but high-performing team within the MassMutual Law Department that is dedicated to supporting Flourish’s growing and fast-paced business. The team works collaboratively across Flourish and MassMutual and is committed to providing sophisticated and practical advice and helping Flourish maintain the highest standards excellence and regulatory compliance.
As Associate Counsel you will be a member of Flourish’s Legal and Compliance team that provides advice across existing business lines, including Flourish’s broker-dealer, outsourced insurance desk, newly-developed mortgage and lending programs, as well as general commercial processes underpinning the company's operations. You will provide legal advice not only on big-picture federal and state regulatory changes, but the day-to-day legal guidance needed specifically for Flourish’s unique business model as a growing fintech company.
As a rapidly expanding fintech business, Flourish has an aggressive product roadmap with an emphasis on novel and bespoke products. As Associate Counsel, you will provide best-in-class and timely legal advice with respect to the development of Flourish’s products and new existing regulations that govern Flourish’s products. You will also manage priorities effectively and adapt quickly to achieve goals while thriving in complex, uncertain, and changing situations. The ability to work with and advise a cross-functional team of technologists, product managers, sales, support and business development is critical. This role also requires a high-level of autonomy, effective communication, and ability to teach oneself as well as to learn and adapt rapidly to changing regulations and business priorities.
Principal Responsibilities- Work within the Legal and Compliance Department to craft the legal strategy for novel and unique fintech businesses, products, and features.
- Provide and/or manage the legal services needed to support rapid product development.
- Proactively monitor, research and analyze regulatory and compliance requirements for existing and new products and businesses.
- Draft compliance policies and procedures where needed, and partner with Compliance on the implementation of applicable requirements.
- Assist with drafting and negotiation of agreements with services providers and business partners.
- Draft customer-facing agreements and disclosure documents.
- Review and approve marketing materials and disclosure documents in accordance with internally established Guidelines and provide guidance to marketing and business teams.
- Provide legal support in connection with regulatory exams and investigations.
- Bachelor’s degree
- Juris Doctor and a member of the Bar in good standing (any state) and the ability to become licensed for in-house practice in New York if not currently licensed in New York.
- 4+ years of experience as an attorney at a law firm, financial regulator, and/or financial institution.
- Excellent interpersonal and communication skills.
- Ability to identify issues and exercise sound judgment in a fast-paced environment.
- Ability to teach oneself about new and innovative areas of the financial services industry, with a particular focus on issues relevant to financial technology.
- Strong project management skills.
- High degree of ownership and sense of urgency.
- High moral character and professional integrity.
- Due to the nature of this position, as part of the background check process, candidates must be able to pass a fingerprint background check to qualify as a fingerprinted person under FINRA.
- Knowledge of U.S. securities laws and other laws and regulations applicable to retail financial services (e.g., broker-dealer and investment adviser);
- Knowledge of insurance laws and regulations relating to distribution of annuity products, including annuity best interest and suitability regulations, and insurance agencies; and/or
- Knowledge of laws and regulations applicable to residential mortgage and related lending products.
- Prior experience working with a start-up or in a start-up environment.

Base Salary Range: $137,800 - $180,800 plus bonus
