We’re looking for an Associate Commercial Counsel to be a key member of Dropbox’s global commercial legal team focusing on general commercial deal work, including both sales and procurement related deals, processes, and procedures. Reporting to the Senior Commercial Counsel - North America Lead, this role offers an exciting opportunity to have company-wide impact primarily supporting Dropbox’s global sales and procurement strategies and other cross functional teams.
This role is for an attorney in the commercial legal space with a client-first mindset and experience working closely with sales and procurement teams in a world class commercial legal function in support of Dropbox’s business goals. You’ll be part of a team of attorneys and professionals responsible for drafting, reviewing, and negotiating a high volume of complex commercial contracts with Dropbox vendors, customers, and other business partners around the world. You'll get an opportunity to gain experience handling a wide variety commercial transactions and partnering with our business teams to deliver efficient, scalable approaches to commercial matters.
The ideal candidate is a commercial attorney who has experience partnering with in-house business teams and is passionate about supporting the business and who thrives in solving legal, technology and business issues. The ideal candidate must be empathetic and a team player who is effective in collaborating with others, while being a proactive partner to internal business teams (and will hopefully get to enjoy a little fun and a few laughs along the way!).
Responsibilities- Engage personally in complex sales and procurement deals and work collaboratively with various company teams to implement company initiatives. Our team works on every kind of contract that Dropbox signs: sales, vendor procurement, marketing, M&A, real estate, infrastructure, etc. A lot of opportunity to learn different types of agreements and negotiation settings.
- Work with cross-functional business teams to implement innovative strategies to increase the efficiency and effectiveness of delivering commercial legal support to Dropbox’s business.
- Be an active and trusted leader, problem solver, and innovator to key stakeholders across the company.
- Develop and refine team playbooks, fallback guides, cross-functional resource documents, and training materials
- Minimum of 2+ years as a practicing commercial attorney, including substantive experience in drafting and negotiating complex commercial agreements, including SaaS, licensing, technology, equipment, and marketing agreements
- Has experience managing and interacting directly with clients and opposing counsel, has robust experience drafting and negotiating contracts themselves
- Ability to translate complex legal issues into clear and simple guidance, and to partner effectively across all levels of the company
- Passion for client service and efficiency
- High integrity, strong ethics, and an unflappable demeanor
- Self-starter, eagerness to learn both substantive law, negotiation skills and team policies and procedures
- J.D. with strong academic credentials and demonstrated record of success as a lawyer
- Member in good standing of bar and (if applicable) in-house counsel registration
- Desire or experience to work in a virtual first environment, demonstrated initiative qualities
- Experience as a commercial attorney in a law firm setting, with at least 1+ year of experience as an in-house attorney at a technology company
- Demonstrated ability to handle multiple types of cross-functional commercial matters, including customer facing agreements, M&A integration and support, and commercial disputes
- Expertise in data privacy law (e.g., CIPP certification), AI rules and regulations, and intellectual property
- Experience with developing and refining team playbooks, fallback guides, cross-functional resource documents, and training materials
- Experience partnering with globally distributed in-house business teams, particularly at SaaS companies to handle a high volume of complex commercial transactions
