What You’ll Do

  • Provide expert counsel on M&A transactions, including strategic advice on mergers, acquisitions, joint ventures, employee grants and awards and governance matters.
  • Provide expert counsel on capital markets and financing transactions including bond offerings, credit agreements, equity offerings and derivative transactions. 
  • Manage all phases of M&A and capital markets deals, from due diligence, drafting and negotiating transaction documents, to post-closing compliance and integration.
  • Collaborate to develop and execute effective corporate strategies, advising on potential risks, deal structuring, and compliance with regulatory requirements.
  • Stay informed on developments in corporate law, including securities regulations, antitrust laws, and other relevant legal areas, to provide cutting-edge solutions and ensure we remain ahead of industry trends.

Who You Are

Minimum Qualifications

  • 5-8+ years of experience in corporate M&A and capital markets, including hands-on experience with complex transactions.
  • Law firm experience is required, with a proven ability to handle all aspects of M&A and capital markets from due diligence through closing and post-closing matters.
  • Strong knowledge of federal, state, and international corporate law, securities regulations, and antitrust issues, with the ability to navigate complex legal landscapes.
  • Exceptional legal writing, research, and negotiation skills, with the ability to draft clear, compelling documents such as transaction agreements, memoranda, and client communications.

Preferred Qualifications

  • Experience with asset-backed financing.
  • Experience in data center financing.
  • Strong experience in acting as a mid to senior level on deal teams.

The base pay and target total cash for this position range from $180,000 to $264,000 and $225,000 to $330,000, accordingly. Pay is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience. This position includes a discretionary bonus, equity, and a comprehensive benefits package.

Our Workplace

While we prioritize a hybrid work environment, remote work may be considered for candidates located more than 30 miles from an office, based on role requirements for specialized skill sets. New hires will be invited to attend onboarding at one of our hubs within their first month. Teams also gather quarterly to support collaboration
