Job Description:

At Regions, the Assistant General Counsel provide legal research, advice and other legal assistance as directed.  May have responsibility for a major legal specializations such as acquisitions and mergers, securities, anti-trust investigations, litigation, taxation etc.

Primary Responsibilities

  • Researches and analyzes laws for the preparation of legal memoranda
  • Performs due diligence for potential transactions involving the company
  • Represents the company in a court of law, administrative body or tribunal
  • Analyzes and summarizes legal documents
  • Negotiates with outside parties, outside counsel, vendors and clients
  • Anticipates and mitigates potential legal problems involving the company
  • May be responsible for advising members within a specialized legal area or particular business activity and provides counsel in cases of litigation
  • Protects the organization's rights in contract negotiations, settlements and litigation
  • Ensures compliance of laws and regulations
  • Advises management on recent changes in laws and regulations that affect the company
  • May direct activities of other legal support
  • May manage outside counsel and develop strategy for litigation and regulatory proceedings

This position is exempt from timekeeping requirements under the Fair Labor Standards act and is not eligible for overtime pay.

Requirements

  • Doctor of Jurisprudence degree
  • Two (2) years experience
  • Fiduciary trust law experience

Additional Job Description:

• Drafts, reviews, negotiates, and approves a broad range of vendor contracts, including master agreements, statements of work, subscription agreements, software licenses, and nondisclosure agreements.

• Partners with Procurement, business stakeholders, Cyber Security, Privacy, Third Party Risk Management, Compliance, and other control functions to identify and mitigate legal and regulatory risks.

• Advises on contract provisions involving data privacy, information security, artificial intelligence, intellectual property, confidentiality, and regulatory compliance.

• Balances legal risk management with business objectives to facilitate timely execution of strategic initiatives and vendor relationships.

• Develops and maintains contract templates, negotiation guidance, playbooks, and other tools to drive consistency, efficiency, and risk mitigation.

• Supports enterprise initiatives by assessing contractual, operational, and legal risks associated with new products, services, and technologies.

• Manages complex negotiations with vendors and internal stakeholders while providing practical, business focused solutions.

• Monitors legal and regulatory developments affecting third party contracting and procurement practices and advises on necessary process or contract updates.

• Contributes to continuous improvement efforts by enhancing contracting processes, reporting, training, and governance to improve efficiency and strengthen risk management.

This position may be filled at a higher level depending on the candidate’s qualifications and relevant experience.

Compensation Details

Pay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.

The target information listed below is based on the Metropolitan Statistical Area Market Range for where the position is located and level of the position.

Job Range Target:

Minimum:

$81,251.50 USD

Median:

$120,600.00 USD

Incentive Pay Plans:

Opportunity to participate in the Long Term Incentive Plan.
