Role Overview:

Could you be our next Assistant General Counsel? Globe Life is looking for an Assistant General Counsel to join the team!

This role is responsible for performing a wide variety of legal functions supporting the operations and corporate governance policies and practices of the parent corporate holding company and its affiliates. The Assistant General Counsel will regularly interact with and provide legal advice to the Boards of Directors of such companies and members of senior management.

This is a hybrid position located in McKinney, Texas (WFH Friday, In Office Monday - Thursday).

What You Will Do:

  • State regulatory and Securities Exchange Commission (Securities Act of 1933 and Exchange Act of 1934) filings.
  • Parent company proxy statement preparation and drafting.
  • Parent company and subsidiary board and committee meeting scheduling, agenda-setting, and attendance/meeting participation.
  • Drafting of organizational documents and corporate minutes.
  • Developing and implementing corporate governance policies.
  • Ensuring compliance with applicable securities laws and stock exchange listing requirements.
  • Coordinating and regularly interacting with the Company’s third-party equity compensation administrator regarding various forms of equity awarded to parent company directors and/or key employees.
  • Contract drafting and review.
  • Helping to facilitate Company securities offerings and merger/acquisition activity, as required.
  • Developing and disseminating employee and independent contractor training materials on specified topics.
  • Other assigned duties, as needed.

What You Can Bring:

  • Juris Doctorate degree from an accredited law school.
  • Active license to practice law in good standing in at least one state.
  • Willingness and ability to travel periodically.
  • Excellent communication skills.
  • The ability to manage multiple priorities and deadlines efficiently.
  • Must be comfortable regularly interacting with Company directors, members of senior management, external business partners, and in-house and outside attorneys.
  • Must be a self-starter who can initiate and see projects through to completion.
  • Strong adaptable, interpersonal skills as well as the capacity to work independently.
  • Must be detail-oriented with the capability to analyze complex information and draw logical conclusions.
  • Proficient use of Microsoft products (i.e., Word, Excel, and Outlook) required.
